Committed Funding definition

Committed Funding means those portions of funding for the remedial activities set forth in Paragraphs 10 through 15 (Orrington Reach through Trust Administrative Costs) that are required to be paid by Mallinckrodt to the Trusts.
Committed Funding means (a) [**] U.S. Dollars ($[**]) with respect to the Initial Research Term (the “Initial Committed Funding”), and (b) if Genentech extends the Research Program for the First Extended Research Term, [**] U.S. Dollars ($[**]) with respect to the First Extended Research Term. The total amount of Committed Funding hereunder shall not exceed [**] U.S. Dollars ($[**]) absent the prior written consent of Genentech.
Committed Funding means funding from the Pooled Fund that is used to fund the Schemes as set out in Schedule 3 – Committed Funding. Confidential Information means information, data and/or material of any nature which any Partner may receive or obtain in connection with the operation of this Agreement and the Services and:

Examples of Committed Funding in a sentence

  • Subject to payment of the Committed Funding, Genentech may terminate this Agreement or the Research Collaboration at any time during the Research Term on thirty (30) days prior written notice to Constellation.

  • If the remedial action plan is not complied with, the Joint Commissioning Strategy Group may agree to stop payment of the unpaid balance of any Committed Funding to the relevant Lead Commissioner (save that payment shall be made to meet contractual commitments of the Lead Commissioner up to the time at which these can be lawfully terminated).

  • Subject to the payment of the Committed Funding in accordance with Sections 5.2 and 6.3, Constellation shall provide Constellation FTEs for performance of the research and other activities for which Constellation is responsible under the Research Plan.

  • Where the Joint Commissioning Strategy Group is satisfied that a Committed Funding Scheme is supporting the BCF Metrics set out in Schedule 4, the Joint Commissioning Strategy Group may agree to make allocations in future years.

  • At such time as the Committed Funding Payment Pause is no longer in effect, the Quarterly Funding Payments shall recommence beginning with the first full calendar quarter thereafter, payable in accordance with Section 24.2. For clarity, GSK shall have no obligation to make any Quarterly Funding Payments in respect of any calendar quarter during which the Committed Funding Payment Pause is in effect, subject to the payment of any Funding Milestone Increase pursuant to Section 24.4i).

  • To the extent that actual Program Costs during the Committed Funding Period exceed the amounts set out in the budget included in the [***] Development Plan, whether or not such excess required Steering Committee approval pursuant to Section 5.1.3, Aptein may, at its discretion, fund in lieu of such percentage an absolute amount equal to the amount it would have funded had the actual budget been the same as the one set out in the [***] Development Plan.

  • Conversely, to the extent that actual Program Costs during the Committed Funding Period are less than the amounts set out in the budget included in the [***] Development Plan, the Parties will discuss in good faith an equitable extension of the Committed Funding Period.

  • The Committed Funding contribution of the ICB and the Council to the Pooled Fund shall be as set out in Schedule 3 – Committed Funding.

  • Each Shareholder A and B is obliged to provide the remainder of the Committed Funding within 10 business days after the CEO requests such in accordance with the AOPB.

  • Neovacs and Stellar hereby undertake to provide the Company, pro rata to their interest in the share capital of the Company, with any additional financing beyond their Initial Contributions, *** in connection with the implementation of the Project to satisfy (i) the Company's financing needs as identified and agreed between the Parties and (ii) any capital contribution required under applicable Law (together the "Committed Funding").


More Definitions of Committed Funding

Committed Funding shall include any of, or any combination of: (a) a binding commitment from a bona fide lender or other financial partner under which the lender or financial partner commits, subject to the conditions therein, to provide funds for the purposes of construction of the Project and commencing commercial production at the Project; and/or (b) the respective boards of directors Seabridge and/or a Transferee making a decision to proceed with Development and to fund Development of the Project through to commencement of commercial production at the Project with its own financial resources, provided that Seabridge and/or such Transferee has a balance sheet and current and projected revenues, together with any commitments from a lender or other financial partner under paragraph (a) above, that reasonably evidences the ability to fund Development;
Committed Funding means, for the purposes of the calculation of Cash on Hand in accordance with Section 2.06(3), that portion of Treasury, which has, on or prior to the date of such calculation, been designated by a majority of the board of directors of Anooraq for expenditure upon the business activities, projects or operations of Anooraq other than those relating to the capital expenditures required in order to achieve Commercial Production in relation to the Ga-Phasha Project or the Drenthe-Overysel Project, each as respectively specified in the Ga-Phasha Reporting and the Drenthe-Overysel Reporting;
Committed Funding means the committed loan facility granted by the Committed Funding Provider in favour of the Issuer pursuant to the terms of the Committed Funding Agreement;
Committed Funding the funding referred to in Schedule 2, that as at the date of this Agreement is available to the Council in cleared funds for expenditure relating to the Project and which may be released to the Agency in accordance with the provisions of clause 11 (Payment & Financial Contributions).
