Company Common Units definition

Company Common Units means Common Units, as such term is defined in the Company LLC Agreement.

Company Common Units has the meaning specified in the Recitals hereto.

Company Common Units means the common units representing limited liability company interests in the Company.

Examples of Company Common Units in a sentence

• The portion of Aggregate Merger Consideration payable upon conversion of the Company Common Units in accordance with the terms hereof shall be deemed to have been paid and issued in full satisfaction of all rights pertaining to such Company Common Units.

• Any portion of the Exchange Fund that remains undistributed to the holders of Company Common Units for one year after the Xtribe Merger Effective Time shall be delivered to WinVest, upon written request of WinVest, and any holders of Company Common Units who have not theretofore complied with this ‎Section 3.02 shall thereafter look only to WinVest for such holder’s portion of the Aggregate Merger Consideration.

• At the Xtribe Merger Effective Time, the equity transfer books of the Company shall be closed and there shall be no further registration of transfers of Company Common Units thereafter on the records of the Company.

• On or prior to the Closing, the Company shall deliver to WinVest a properly executed certification that Company Common Units are not “U.S. real property interests” in accordance with the Treasury Regulations under Sections 897 and 1445 of the Code, together with a notice to the IRS (which shall be filed by WinVest with the IRS following the Closing) in accordance with the provisions of Section 1.897-2(h)(2) of the Treasury Regulations.

More Definitions of Company Common Units

Company Common Units means the class of Company Units referred to as “Common Units” under Article 3 of the Operating Agreement and includes, collectively, the Series 1 Common Units, the Series 2 Common Units and the Series 3 Common Units.

Company Common Units has the meaning set forth in Section 2.4(a).

Company Common Units means the Common Units of the Company prior to the effectiveness of the A&R LLCA.

Company Common Units means (i) prior to effectiveness of the Post-Reclassification Company LLC Agreement, “Capital Units”, as such term is defined in the Pre-Reclassification Company LLC Agreement and (ii) as of and following effectiveness of the Post-Reclassification Company LLC Agreement, “Common Units”, as such term is defined in the Post-Reclassification Company LLC Agreement.

Company Common Units shall have the meaning given thereto in Section 3.04(c).

Company Common Units shall have the meaning set forth in the preamble hereto.

Company Common Units means Company Class A Common Units and Company Class B Common Units (including Company Class C Common Units from and after the Pre-Closing Reorganization).
