Seller shall deliver to Buyer at least three (3) Business Days prior to the Closing Date, (i) payoff letters, in the forms attached hereto as Exhibit B (the “ Payoff Letters”), from the holders of the Company Debt set forth on Schedule 2.3(a), and (ii) a schedule setting forth the amount, as of the Effective Time, the Company Debt Payoff Amount.

Company Debt Payoff Amount means the amount necessary to pay off in full all amounts due under the Company Debt.
