Company Event definition

Company Event means the occurrence of any of the following events:
Company Event means - (a) publication of a prospectus or shelf offering report in connection with the raising of capital from the public; (b) signing of a merger agreement; (c) signing of an agreement for the acquisition of the Company's business; (d) distribution of dividend; (e) distribution of bonus shares; (f) publication of a prospectus or shelf offering report in connection with raising capital from existing shareholders of the Company; (g) signing an investment agreement or a loan agreement to the Company.
Company Event means any of the following: (a) any liquidation, dissolution or winding up of Company; (b) any merger, consolidation or reorganization or other similar transaction or series of related transactions which results in the voting securities of Company outstanding immediately prior thereto representing immediately thereafter (either by remaining outstanding or by being converted into voting securities of the surviving or acquiring entity) less than 51% of the combined voting power of the voting securities of Company or such surviving or acquiring entity outstanding immediately after such merger, consolidation or reorganization (but excluding any merger effected solely for the purpose of reincorporating in another state); (c) any sale, lease, conveyance or other disposition of all or substantially all of the assets (including the grant of an exclusive license covering all or substantially all of the intellectual property rights) of Company; or (d) any sale of shares of capital stock of Company, in a single transaction or series of related transactions to which Company is a party, representing at least 50% of the voting power of the voting securities of Company (but excluding a Qualified IPO (as defined in Company’s certificate of incorporation) or any transaction or series of transactions entered into principally for bona fide equity financing purposes in which Company issues new securities primarily for cash, the cancellation or conversion of indebtedness of Company, or the combination thereof for the purpose of financing the operations and business of the Company).

Examples of Company Event in a sentence

  • In addition, the Company may redeem all or a portion of the Subordinated Notes, at any time upon the occurrence of a Tier 2 Capital Event, Tax Event or an Investment Company Event.

More Definitions of Company Event

Company Event has the meaning set forth in Annex C hereto.
Company Event shall have the meaning ascribed thereto in Section 2.2.1(b).
Company Event means a stock split, stock dividend, subdivision(s), redivision(s), reorganization, recapitalization, reclassification or combination of shares, merger, amalgamation, consolidation, spinoff, sale of assets or any such similar event affecting the Common Shares.
Company Event as used herein means the existence of material non-public information regarding the Company which the Board of Directors of the Company reasonably determines not to be in the best interests of the Company to disclose, including a significant business opportunity (including, but limited to, the acquisition or disposition of assets (other than in the ordinary course of business) or any merger, consolidation, tender offer or similar transaction) available to the Company, but which would be required to be disclosed in a Registration Statement. Notwithstanding anything to the contrary contained herein, if an Event pursuant to clauses (i), (ii) or (iii) hereof occurs due to the consummation or the proposed consummation by the Company of an acquisition, the Company shall not be required to pay any liquidated damages required hereunder.

Company Event means that the Company shall have obtained a Tax Event Opinion to the effect that, as a result of a Change in Tax Law, there is more than an insubstantial risk that interest payable to the holders of the Convertible Debentures would not be deductible by Citizens for United States federal income tax purposes.
