Company Group Securities definition

Company Group Securities means (i) Corporation Securities, (ii) Utility Securities (other than Utility Securities held by the Corporation), and (iii) any other interests of a member of the Company Group designated as stock by the Board as disclosed in a United States Securities and Exchange Commission (the “SEC”) filing by the Corporation.
Company Group Securities has the meaning set forth in Section 3.3(e).

Examples of Company Group Securities in a sentence

  • For purposes of this Section 3(a)(i), return shall include all amounts included in the determination of Internal Rate of Return, except that the term Company Group Securities shall be substituted for the term “equity” as used in the definition of Internal Rate of Return.

  • There are no outstanding obligations of any member of the Company Group to repurchase, redeem or otherwise acquire any Company Group Securities.

  • It further pointed out that these numbers may seem small but the contribution from most risk factors other than the top 10 is within the 0.5 to 1.0 percent range.

  • The amendments address three main areas: The effects of vesting conditions on the measurement of a cash-settled share-based payment transaction; The classification of a share-based payment transaction with net settlement features for withholding tax obligations; and The accounting where a modification to the terms and conditions of a share-based payment transaction changes its classification from cash-settled to equity-settled.

  • Neither Seller nor any Company Group Entity is a party to any voting trust or other Contract with respect to the voting, redemption, sale, transfer or other disposition of the Company Group Securities.

  • The Company Group is not a party to any agreement with respect to any Company Group Securities granting any registration rights to any Person.

  • There are no Liens for Taxes (other than Taxes not yet due and payable) upon the Company Group Securities or any of the assets of the Company Group.

  • Seller has the power and authority to sell, transfer, assign and deliver the Company Group Securities as provided in this Agreement, and such delivery will convey to Purchaser good and marketable title to the Company Group Securities, free and clear of any and all Liens, other than transfer restrictions imposed by securities Laws and Liens created by Purchaser.

  • ETP Securities means the Series of ETP Securities to which these Conditions relates or, as the context may require, any or all securities issued by the Issuer under the Programme.

  • Partnership Securities has the meaning assigned to such term in Section 4.4(a).

  • Lock-Up Securities has the meaning set out in Section 5(l).

  • NIM Securities As defined in the tenth Recital to this Agreement.

  • Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;

  • Company Group means the Company and its Subsidiaries.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • BofA Securities means BofA Securities, Inc.

  • Company Units has the meaning set forth in the Recitals.

  • Covered Securities means any note, stock, treasury stock, security future, bond, debenture, evidence of indebtedness, certificate of interest or participation in any profit-sharing agreement, collateral-trust certificate, preorganization certificate or subscription, transferable share, investment contract, voting-trust certificate, certificate of deposit for a security, fractional undivided interest in oil, gas, or other mineral rights, any put, call, straddle, option, or privilege on any security (including a certificate of deposit) or on any group or index of securities (including any interest therein or based on the value thereof), or any put, call, straddle, option, or privilege entered into on a national securities exchange relating to foreign currency, or, in general, any interest or instrument commonly known as a "security", or any certificate of interest or participation in, temporary or interim certificate for, receipt for, guarantee of, or warrant or right to subscribe to or purchase any of the foregoing.

  • Series B Securities means the 11-1/2% Senior Notes due 2007, Series B, of the Company to be issued pursuant to this Indenture in exchange for the Series A Securities pursuant to the Registered Exchange Offer and the Registration Rights Agreement.

  • Equity-linked Securities means any debt or equity securities that are convertible, exercisable or exchangeable for Class A Shares issued in a financing transaction in connection with a Business Combination, including but not limited to a private placement of equity or debt.

  • Company Securities has the meaning set forth in Section 3.02(b)(ii).

  • Corporation Securities means (i) shares of Common Stock, (ii) shares of Preferred Stock (other than preferred stock described in Section 1504(a)(4) of the Code), (iii) warrants, rights, or options (including options within the meaning of Treasury Regulation § 1.382-2T(h)(4)(v)) to purchase stock of the Corporation, and (iv) any other interest that would be treated as “stock” of the Corporation pursuant to Treasury Regulation § 1.382-2T(f)(18).

  • Company Group Member means each member of the Company Group.

  • Company Subsidiary Securities has the meaning set forth in Section 3.02(d).

  • Partnership Security means any class or series of equity interest in the Partnership (but excluding any options, rights, warrants and appreciation rights relating to an equity interest in the Partnership), including without limitation, Common Units, Subordinated Units and Incentive Distribution Rights.

  • Designated Securities means securities issued by an Insured, or by any Affiliated Entity, or by any Fund to which such Insured or any Affiliated Entity provides any services.

  • Selling Group has the meaning ascribed thereto in Section 2.2;

  • Founders means all Members immediately prior to the consummation of the IPO.

  • Related Securities means any options or warrants or other rights to acquire Shares or any securities exchangeable or exercisable for or convertible into Shares, or to acquire other securities or rights ultimately exchangeable or exercisable for or convertible into Shares.

  • Sponsor Group means the Sponsors and the Sponsor Related Parties.

  • Company Underwriter has the meaning set forth in Section 4(a).

  • Subject Securities means: (i) all securities of the Company (including all shares of Company Common Stock and all options, warrants and other rights to acquire shares of Company Common Stock) Owned by Stockholder as of the date of this Agreement; and (ii) all additional securities of the Company (including all additional shares of Company Common Stock and all additional options, warrants and other rights to acquire shares of Company Common Stock) of which Stockholder acquires Ownership during the period from the date of this Agreement through the Expiration Date.

  • Series A Securities means the Company's Series A 9 3/8% Junior Subordinated Deferrable Interest Debentures due May 1, 2028 as authenticated and issued under this Indenture.

  • Participating Companies means any insurance company (including Insurance Company) that offers variable annuity and/or variable life insurance contracts to the public and that has entered into an agreement with one or more of the Funds.
