Company IP Assets definition

Company IP Assets means, all IP Assets licensed, used, owned or purported to be owned by Company or any Company Subsidiaries in the operation of the business of Company and Company Subsidiaries or constituting or included within any product or services of Company or the Company Subsidiaries.

Company IP Assets means all Intellectual Property Rights and Technology that Company or any Company Subsidiary owns or has a license to, excluding licenses from customers that only allow Company or any Company Subsidiary to manufacture and supply to such customers.

Company IP Assets means, collectively, (a) the Company IP Rights; (b) all embodiments of any Company IP Rights, in whatever form, format or media; (c) all applications, registrations, filings and other formal governmental actions made or submitted by the Company pursuant to Applicable Law to secure, perfect, maintain or protect its interest in any Company IP Right; and (d) all information of a technical nature, documentation, manuals, memoranda, records, customer lists, supplier lists, proprietary processes, formulae, software Source Code and object code, software libraries, data bases, software utilities, programming and knowledge base structures, optimization, organization and compilation techniques, programmers’ notes, flowcharts, diagrams, algorithms, screen displays, graphical interfaces, photographs, images, layouts, development tools, designs, blueprints, specifications, technical drawings, applications, methodologies, techniques, ideas, solutions, processes, concepts or procedures, in each case used in or necessary to the conduct of the Business.

Examples of Company IP Assets in a sentence

• No Contract grants to or authorizes the retention of any joint ownership interest or exclusive license of, or other exclusive right with respect to, any of the Company IP Assets by any Person.

• Without limiting the foregoing, Company represents and warrants that the Company IP Assets owned by the Company include without limitation all EONStreams components and the internal elements of its FastAim, EasyImpressions and MediaConsole products, and Company possesses sole ownership with respect thereto.

• Company and the Company Subsidiaries have granted no third party any exclusive rights with respect to any Company IP Assets or Company IP Rights.

• Any and all documents necessary to properly record the assignment to Purchasers of all of Company’s right, title and interest in and to the Company IP Assets, including: (i) a trademark assignment for all of the Trademarks (the “Trademark Assignment”); (ii) a patent assignment for all of the Patents (the “Patent Assignment”); (iii) a copyright assignment for all of the Copyrights (the “Copyright Assignment”); and (iv) a domain name assignment for all of the Domain Names (the “Domain Name Assignment”).

• To Company’s knowledge, no current or former director, officer, employee, consultant or independent contractor of Company or the Company Subsidiaries has any right, license, claim or interest whatsoever in or with respect to any Company IP Assets or Company IP Rights.

More Definitions of Company IP Assets

Company IP Assets has the meaning assigned in Section 3.01(p)(1).

Company IP Assets means all Intellectual Property Rights and Technology the Companies own or have a license to, excluding licenses from customers that only allow the Companies to manufacture and supply to such customers.

Company IP Assets means, collectively, (A) the Company IP Rights; (B) all embodiments of any Company IP Rights, in whatever form, format or media; (C) all applications, registrations, filings and other formal governmental actions made or submitted by Company pursuant to applicable laws to secure, perfect, maintain or protect its interest in any Company IP Right; and (D) all information of a technical nature, documentation, manuals, software Source Code and object code, software libraries, data bases, algorithms, screen displays and graphical interfaces, used in or necessary to the conduct of the business of Company and its subsidiaries as presently conducted.

Company IP Assets means all Intellectual Property Rights and Technology of any Acquired Company that are used, held for use or practiced by such Acquired Company, including any Intellectual Property Rights and Technology incorporated into or otherwise used, held for use or practiced in connection with any Company Products and Services, including the Company Proprietary Slot/Table/Poker Games.

Company IP Assets means all Intellectual Property Rights solely or jointly owned by VNBJ, including any such Intellectual Property Rights registered in the name of VNBJ, but excluding any Intellectual Property Rights acquired, invented or reduced to practice prior to April 1, 2016.

Company IP Assets means all Intellectual Property Rights that (a) any Company Group Entity owns immediately prior to the Closing Date or (b) are Transferred IP Assets.

Company IP Assets means all material Intellectual Property used in the conduct of the Company Business.
