Company Offerings definition

Company Offerings means any material products or services marketed, offered, licensed, provided, sold, distributed or otherwise made available by or on behalf of the Company or any of the Company Subsidiaries, and any products or services currently being developed (or already developed) by or for the Company or any of the Company Subsidiaries.

• The Company has provided to Parent all forms of nondisclosure agreements, end user license agreements, terms of use and other standard form agreements that are currently or were at any time in use related to the use or download of, or access to, Company Offerings.

• Section 3.17(b) of the Company Disclosure Schedule also contains a complete and accurate list of all material unregistered Trademarks used or held for use by the Company or any Company Subsidiary in connection with the Company Offerings and all material unregistered Copyrights included in the Company-Owned Intellectual Property.

• The Company and its Subsidiaries use commercially reasonable measures designed to prevent the introduction of Contaminants into Company Offerings, in accordance with procedures that are customarily used in the Company’s industry.

• None of the Company Software or Company Offerings constitutes or contains any Contaminants.

Company Offerings means all products and services produced, performed, sold or offered for sale to third parties by or on behalf of the Company.

Company Offerings means all products and services that are marketed, sold or licensed by the EIS Business.

Company Offerings means any and all products or services offered, licensed, provided, sold, distributed, or made available by any of the Acquired Companies, and any and all products or services under design or development (or already designed or developed) by any of the Acquired Companies, including all versions and releases of the foregoing, together with any related documentation, materials, or information.

Company Offerings means (a) the products that the Company (i) currently develops, manufactures, markets, distributes, makes available, sells or licenses to third parties, or (ii) has developed, manufactured, marketed, distributed, made available, sold or licensed to third parties since inception, or (iii) currently plans to develop, manufacture, market, distribute, make available, sell or license to third parties in the future and (b) the services that the Company (i) currently provides or makes available to third parties, or (ii) has provided or made available to third parties within the previous six (6) years, or (iii) currently plans to provide or make available to third parties in the future.

Company Offerings means all Products marketed, sold or serviced by any Acquired Company. “Confidentiality Agreement” has the meaning set forth in S ection 6.1(b).

Company Offerings means all products, technologies, software, games, and services (including products currently under development) owned, made, marketed, provided, distributed, sold or licensed by or on behalf of the Company and/or its Subsidiaries as of date hereof and as of the Closing, and all products and services which the Company currently intends to make commercially available, market, distribute, sell, or license out, since its inception.

Company Offerings means any and all products and services designed, developed (including those being designed or in development as of the date hereof), manufactured, sold, licensed, distributed, marketed, provided or otherwise made commercially available by the Company or any of its Subsidiaries, including to the extent integrated into a Company product or service, any component, sensor, system, device, hardware, hosted platform, hosted Software or application, hosted service, cloud-based application or service, any application programming interface, Software development kit, dashboard, interface, environment or any service that operates through a network of computer servers (and further including all web, mobile, and tablet versions thereof and all platforms and other Software used for any of the foregoing).
