Company Public Disclosure Record means all documents filed or furnished under applicable Securities Laws by or on behalf of the Company on SEDAR between January 1, 2019 and the date hereof;
Company Public Disclosure Record means all documents and information filed by the Company on SEDAR under Canadian Securities Laws since May 28, 2018.
Company Public Disclosure Record means all documents and instruments required to be filed or furnished by it under Securities Laws (including “documents affecting the rights of securityholders” and “material contracts” required to be filed by Part 12 of National Instrument 51-102 – Continuous Disclosure Obligations) filed by or on behalf of the Company on SEDAR or XXXXX from September 21, 2018, and prior to the date of this Agreement.

Examples of Company Public Disclosure Record in a sentence

  • All documents and instruments comprising the Company Public Disclosure Record have been filed or furnished, as applicable, on a timely basis, with the applicable Securities Authorities and/or the SEC pursuant to Securities Laws and the U.S. Securities Act, as applicable and the rules and policies of the CSE, except where failure to do so would not have any Company Material Adverse Effect.

  • As of their respective dates (or, if amended prior to the date hereof, as of the date of such amendment), the documents and instruments constituting the Company Public Disclosure Record did not contain any Misrepresentation.

  • Except as disclosed in the Company Disclosure Letter, to the knowledge of the Company, the Company Public Disclosure Record (other than confidential treatment requests) is not the subject of ongoing review, comment or investigation by any Securities Authority, the SEC or the CSE.

More Definitions of Company Public Disclosure Record

Company Public Disclosure Record means all documents filed by or on behalf of the Company on the System for Electronic Document Analysis Retrieval (SEDAR) from December 31, 2013 and prior to the date of this Agreement;
Company Public Disclosure Record means all documents filed by or on behalf of the Company on the System for Electronic Document Analysis Retrieval under Canadian Securities Laws (“SEDAR”) or the Electronic Data Gathering, Analysis, and Retrieval system under the U.S. securities Laws (“XXXXX”), in each case, since January 1, 2020 and that are publicly available prior to the date hereof.
Company Public Disclosure Record means (a) each of the following documents, in the form they were filed with the SEC and including any amendments thereto filed with the SEC: (i) the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2021; (ii) those portions of the Company’s 2021 Proxy Statement on Schedule 14A that are incorporated by reference into the Company’s Annual Report for the fiscal year ended December 31, 2021; and (iii) the Company’s Current Reports on Form 8-K (excluding any Current Reports or portions thereof that are furnished, and not filed, pursuant to Item 2.02 or Item 7.01 of Form 8-K, and any related exhibits) filed with the SEC after December 31, 2021; and (b) all documents and instruments filed by the Company under Securities Laws on SEDAR from January 1, 2021, and prior to the date of this Agreement.
Company Public Disclosure Record means all reports, schedules, forms, statements and other documents (including exhibits and other information incorporated therein) filed by the Company with the SEC or OSC since January 1, 2010 and on or before August 9, 2010, together with any documents filed or furnished during such period by the Company to the SEC on Current Reports on Form 6-K, in each case that are available to the public on XXXXX or SEDAR;
Company Public Disclosure Record means all documents filed or furnished under applicable Securities Laws by or on behalf of the Company on SEDAR between August 25, 2016 and the date hereof;
Company Public Disclosure Record means all documents filed by or on behalf of the Company on SEDAR since January 1, 2021 and prior to the date hereof that are publicly available on the date hereof.
Company Public Disclosure Record means all documents and information filed by the Company on EDGAR under U.S. Securities Laws and/or SEDAR under Canadian Securities Laws since May 28, 2018.
