Company Restaurant Licenses definition

Company Restaurant Licenses means any IP license granted by a Franchise Entity with respect to a Company Restaurant.
Company Restaurant Licenses means (i) the Wendy’s International Company Restaurant License, dated as of the Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s, as licensee, as amended, supplemented or otherwise modified from time to time, (ii) the WOFHNY Company Restaurant License, dated as of the Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s Old Fashioned Hamburgers of New York, LLC, as licensee, as amended, supplemented or otherwise modified from time to time, (iii) the WRONY Company Restaurant License, dated as of the Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s Restaurants of New York, LLC, as licensee, as amended, supplemented or otherwise modified from time to time, (iv) the WOD Company Restaurant License, dated as of the Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s of Denver, LLC, as licensee, as amended, supplemented or otherwise modified from time to time, (v) the WONEF Company Restaurant License, dated as of the Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s of N.E. Florida, LLC, as licensee, as amended, supplemented or otherwise modified from time to time, (vi) the Wendy’s Properties Company Restaurant License, dated as of the Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s Properties, as licensee, as amended, supplemented or otherwise modified from time to time (the “Wendy’s Properties Company Restaurant License”), and (vii) the Wendy’s Canada Company Restaurant License, dated as of the Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s Canada, as licensee, as amended, supplemented or otherwise modified from time to time (the “Wendy’s Canada Company Restaurant License”).
Company Restaurant Licenses means (i) the Wendy’s International Company Restaurant License, dated as of the Initial Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s, as licensee, as amended, supplemented or otherwise modified from time to time, (ii) the WOFHNY Company Restaurant License, dated as of the Initial Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s Old Fashioned Hamburgers of New York, LLC, as licensee, as amended, supplemented or otherwise modified from time to time, (iii) the WRONY Company Restaurant License, dated as of the Initial Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s Restaurants of New York, LLC, as licensee, as amended, supplemented or otherwise modified from time to time, (iv) the WOD Company Restaurant License, dated as of the Initial Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s of Denver, LLC, as licensee, as amended, supplemented or otherwise modified from time to time, (v) the WONEF Company Restaurant License, dated as of the Initial Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s of N.E. Florida, LLC, as licensee, as amended, supplemented or otherwise modified from time to time, (vi) the Wendy’s Properties Company Restaurant License, dated as of the Initial Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s Properties, as licensee, as amended, supplemented or otherwise modified from time to time (the “Wendy’s Properties Company Restaurant License”), (vii) the Wendy’s Canada Company Restaurant License, dated as of the Initial Closing Date, by and between the Franchise Holder, as licensor, and Wendy’s Canada, as licensee, as amended, supplemented or otherwise modified from time to time (the “Wendy’s Canada Company Restaurant License”), (viii) the Master Franchise Agreement, dated as of June 2, 2021, by and between the Franchise Holder, as licensor, and Wendy’s, as licensee, as amended, supplemented or otherwise modified from time to time (the “Wendy’s UK Master Company Restaurant License”) and (ix) any other licenses for Intellectual Property provided by the Franchise Holder to a Non-Securitization Entity for use in connection with operating or franchising any Retained Restaurant or Reacquired Restaurant.

  • The Manager, acting on behalf of the Securitization Entities, may in accordance with the Managing Standard and the terms of the Franchise Agreements, the Company Restaurant Licenses and the Management Agreement, as applicable, increase or reduce the Advertising Fees required to be paid by the Franchisees and Company Restaurants, respectively, pursuant to the terms of the Franchise Agreements, the Company Restaurant Licenses and the Management Agreement and in accordance with the Managing Standard.

  • Patent License means any written agreement granting any right with respect to any invention on which a Patent is in existence or a Patent application is pending, in which agreement Borrower now holds or hereafter acquires any interest.

  • Company Registered Intellectual Property means all of the Registered Intellectual Property owned by, or filed in the name of, the Company.
