Company Share Option definition

Company Share Option means any option to purchase Company Shares granted under the Company’s 2013 Equity Incentive Plan.

Company Share Option means each option to purchase Company Shares that is outstanding immediately prior to the Effective Time, whether vested or unvested.

Company Share Option has the meaning set forth in Section 2.4(b).

Examples of Company Share Option in a sentence

• As of the date hereof, there are (i) outstanding share options issued under the Company’s Share Option Plan to purchase an aggregate of 2,367,662 Common Shares (each, a “Company Share Option”) and (ii) 1,277,339 Common Shares reserved for issuance under the Company Share Option Plan.

• Other than in respect of awards outstanding under or pursuant to the Company Share Option Plan, no Common Shares are reserved for issuance.

• Each Company Share Option (i) was granted in compliance with all applicable laws and all of the terms and conditions of the Company Share Option Plan.

• All options are to be issued under the Company Share Option Scheme (No. 2) as adopted by the Company in general meeting on 4 May 1995.

• Each Company Share Option was granted in compliance with all applicable laws and all of the terms and conditions of the Company Share Option Plans.

• Notwithstanding anything herein to the contrary, there shall be no reduction in the Company Common Share Merger Consideration, the Partnership Merger Consideration, or in the amounts to be paid to holders of any Company Share Option, Restricted Share or Unit by virtue of this Section 2.9, except to the extent such holder actually receives a distribution pursuant to this Section 2.9.

• At the Effective Time, each outstanding Company Share Option under the Company Option Plans or under any agreement disclosed in Section 2.3 of the Company Disclosure Letter1, whether or not vested, shall by virtue of the Transactions be assumed by the Parent.

• The Company Share Option Plan (the “CSOP”), as a subplan to this Plan, is hereby attached as Appendix A to this Plan.

• Promptly after the Company Merger Effective Time (but in any event within five (5) Business Days), Parent shall pay to each holder of a Company Share Option, SAR or Performance Award cancelled in accordance with this Article III the Option Merger Consideration, the SAR Merger Consideration or the Performance Award Merger Consideration, as applicable.

More Definitions of Company Share Option

Company Share Option means any option to acquire Company Ordinary Shares [or Company ADSs] outstanding under the Company Equity Plans including, for the avoidance of doubt, market priced options);

Company Share Option means an option to purchase Common Shares.

Company Share Option means each option to purchase Company Ordinary Shares (whether vested or unvested) granted under any Company Share Plan or otherwise, other than a right to purchase Company Ordinary Shares under the ESPP.

Company Share Option means each outstanding option to purchase Company Ordinary Shares under any Company Plan.

Company Share Option means any option to acquire Amryt Ordinary Shares or Amryt ADSs outstanding under the Company Equity Plans including, for the avoidance of doubt, market priced options);
