Priced Options means features and functionality that are available, offered, and priced in the contract, but which the County may or may not purchase at the time the contract is executed. The County may purchase Priced Options at any time during the contract term. The quoted price of Priced Options shall remain effective for one year following Final System Acceptance, and may be adjusted per the Contract for subsequent years.

Examples of Priced Options in a sentence

• This paragraph applies only if a “Priced Options” exhibit is shown in Section 1, or if the parties amend this Agreement to add a Priced Options exhibit.

• During the term of the option as stated in the Priced Options exhibit (or if no term is stated, then for one (1) year after the Effective Date), Customer has the right and option to purchase the equipment, software, and related services that are described in the Priced Options exhibit.

• The balance of the Ordinary Priced Option Shares and all of the Premium Priced Option Shares shall vest quarterly in equal amounts over a subsequent period of four years from the date of grant; provided that the balance of the Ordinary Priced Options Shares shall vest first before there is any vesting of the Premium Priced Option Shares.

• During the term of the option as stated in the Priced Options exhibit (or if no term is stated, then for one (1) year after the Effective Date), Customer shall have the right and option to purchase the equipment, software, and related services that are described and listed in the Priced Options exhibit.

• For the avoidance of doubt, following the exercise of any of the above Priced Options by the Secretary of State, the corresponding option shall be switched on in the Financial Model so that the outputs of the Financial Model incorporate the agreed cost and revenue amounts for that Priced Option.

• This paragraph applies only if a “Priced Options” exhibit is shown in Section 1 of this Agreement, or if the Parties amend this Agreement to add a Priced Options exhibit.

• All holders of unvested Target equity securities (other than Target Options which do not qualify as Zero Priced Options), and all holders of Zero Priced Options, have timely filed elections to be taxed at the time of grant or issuance, as applicable, under Section 83(b) of the Code (each, an “83(b) Election”) with respect thereto, and each such 83(b) Election is valid, effective and continues in full force and effect.

• The Franchisee will use reasonable endeavours to ensure the programme of works associated with these Priced Options are completed in the timescales contained within the Amendment Agreement unless otherwise stated or agreed.

• NewPricedOptions‌ The following section lists and summarises the new Priced Options Scottish Ministers may require the Franchisee to provide.

• The respective Prices for the Priced Options shall be as set out in the Amendment Agreement, except that where, due only to the date of this letter (and, thus, the date of calling off of any relevant Priced Option), costs are incurred or revenues collected earlier or later than is anticipated by the Priced Option as drafted, an appropriate adjustment shall be made to the Price, to take account of the same.
