Company Share Value definition

Company Share Value means the five day volume-weighted average price of the Company Shares on the Toronto Stock Exchange determined as of the close of business on the second Business Day immediately preceding the Effective Date;
Company Share Value means the volume weighted average closing sale price of one (1) Share as reported on the NYSE for the five (5) consecutive trading days ending on the trading day immediately preceding the Effective Time (as adjusted as appropriate to reflect any stock splits, stock dividends, combinations, reorganizations, reclassifications or similar events).
Company Share Value means $10.00.

  • The aggregate Purchase Price assumes that the Issuer has effected a reverse stock split prior to the Effective Time in order to cause the Company Share Value to equal $10.00.

More Definitions of Company Share Value

Company Share Value means $61.00; provided, however, if subsequent to the date of this Agreement, but prior to the Company Effective Time, Parent or any Subsidiary of Parent purchases any shares of Company Common Stock at a per share price in excess of the Company Share Value, the Company Share Value shall be increased to equal such higher per share price.
