Competing Area definition

Competing Area means any city, locality or region of the United States, or any other place in the world, where the Company or any of its subsidiaries or affiliates had operations during the six (6) month period prior to the Effective Time, or in which, during the six (6) month period prior to the Effective Time, the Company or any of its subsidiaries or affiliates had made substantial plans with the intention of establishing operations in such city, locality or region; provided, that, the restrictions of this paragraph 2 shall not apply in the event the Executive’s employment with the Company is terminated by the Company without Cause or by the Executive for Good Reason. Notwithstanding anything to the contrary contained herein, (i) the “beneficial ownershipby Executive, either individually or as a member of a “group,” as such terms are used in Rule 13d of the General Rules and Regulations under the Securities Exchange Act of 1934, as amended, of not more than three percent (3%) of the voting stock of any publicly held corporation shall not alone constitute a violation of this Agreement, and (ii) Executive’s investment, participation, consulting, employment or directorship in a private equity fund or other business enterprise involving venture capital which makes, may make or has made investments in a Competitive Business shall not constitute a violation of this Agreement, provided that Executive is not engaged, and does not participate, in such Competitive Business as an employee or officer, consultant or director thereof or otherwise.

You expressly understand and agree that you are receiving adequate and sufficient consideration in exchange for your agreeing to the restrictions set forth in this paragraph 6(b).

  • Competing Activities means the same or similar services as Xxxxxx Xxx Ltd is providing to the Restaurant under this Agreement or other activities having a similar purpose.
