Compound Improvement definition

Compound Improvement means any and all enhancements, whether or not patentable, in the Compound. Compound Improvement shall include without limitation pharmaceutical formulations and dosage forms for administration discovered or invented solely or jointly by employees of MERCK, or acquired by MERCK, during the term of this Agreement. Compound Improvement shall not include pharmaceutical formulations or dosage forms for administration discovered or invented solely by employees of ISIS, or acquired by ISIS, during the term of this Agreement.
Compound Improvement means any New Invention comprising (i) the chemical structure of any Aganocide Compound, whether alone or chemically bonded with other active pharmaceutical ingredients, (ii) any method of manufacture of any composition described in clause (i), or (iii) the method of use or administration of any composition described in clause (i), wherein such method of use or administration is outside the Dermatology Field.
Compound Improvement means any invention or other subject matter (including Information) comprising the composition of matter of any Compound, Development Compound, Collaboration Compound, Back-Up Compound, Development Back-Up Compound, Collaboration Back-Up Compound, Abandoned Compound or Licensed Product, or method of use or manufacture thereof (together with all intellectual property rights therein, including Patents). Upon the owning Party’s request, the assigning Party shall take, or cause to be taken, any and all actions necessary to confirm and perfect the owning Party’s rights in and to Celgene Compounds or Compound Improvements, as applicable.

  • All licenses granted to MTPC will automatically terminate, all other rights and obligations of the Parties under this Agreement will terminate, and all sublicenses under the Neurocrine Technology granted from MTPC to any Sublicensee will automatically terminate, in each case on the effective date of termination; provided however, MTPC shall have a fully-paid, perpetual license to the MTPC Compound Improvement Inventions.


More Definitions of Compound Improvement

Compound Improvement shall have the meaning assigned in Section 9.1.2.
Compound Improvement means any invention or other subject matter comprising the composition of any Aganocide Compound (together with any and all intellectual property rights therein, including Patents).

Compound Improvement means any and all modifications and enhancements that specifically and solely relate to the composition of matter of ISIS 3521 or the method of use of ISIS 3521, except pharmaceutical formulations and dosage forms for administration of the Product, developed by or coming under Control of a party after the Effective Date.

  • Capital Improvement Project means the acquisition, construction, reconstruction, improvement, planning and equipping of roads and bridges, appurtenances to roads and bridges to enhance the safety of animal-drawn vehicles, pedestrians, and bicycles, wastewater treatment facilities, water supply systems, solid waste disposal facilities, and storm water and sanitary collection, storage and treatment facilities including real property, interests in real property, facilities, and equipment related or incidental to those facilities.

  • Minimum Improvements means the acquisition of land and construction of a 64-unit market rate residential apartment building and related improvements. The Minimum Improvements are more fully depicted in Exhibit B, which is attached hereto and incorporated herein.

  • Public Improvements means only the following improvements: housing facilities; garbage disposal plants; rubbish disposal plants; incinerators; transportation systems, including plants, works, instrumentalities, and properties used or useful in connection with those systems; sewage disposal systems, including sanitary sewers, combined sanitary and storm sewers, plants, works, instrumentalities, and properties used or useful in connection with the collection, treatment, or disposal of sewage or industrial wastes; storm water systems, including storm sewers, plants, works, instrumentalities, and properties used or useful in connection with the collection, treatment, or disposal of storm water; water supply systems, including plants, works, instrumentalities, and properties used or useful in connection with obtaining a water supply, the treatment of water, or the distribution of water; utility systems for supplying light, heat, or power, including plants, works, instrumentalities, and properties used or useful in connection with those systems; approved cable television systems, approved cable communication systems, or telephone systems, including plants, works,

  • Development Property means a Property currently under development for use as an office or industrial building that has not become a Stabilized Property, or on which the improvements (other than tenant improvements on unoccupied space) related to the development have not been completed, provided that such a Development Property on which all improvements (other than tenant improvements on unoccupied space) related to the development of such Property have been completed for at least twelve (12) months shall cease to constitute a Development Property notwithstanding the fact that such Property has not become a Stabilized Property.

  • Leasehold Improvements means all buildings, structures, improvements and fixtures located on any Leased Real Property which are owned by Company or any Company Subsidiary, regardless of whether title to such buildings, structures, improvements or fixtures are subject to reversion to the landlord or other third party upon the expiration or termination of the lease for such Leased Real Property.

  • Improvement Fund means the Improvement Fund for General Obligation Temporary Notes, Series 2017-1 created pursuant to Section 501 hereof.
