Compression Services definition

Compression Services has the meaning given such term in Section 3.1(b).

Compression Services which means the combined dehydrating and compressing, to applicable tariff requirements, of Shipper Gas on the Gathering System; and

Compression Services has the meaning set forth in the Recitals hereto.

Examples of Compression Services in a sentence

• Upon termination of this Agreement for any reason, (i) EVEMeta shall immediately cease providing the Compression Services, (ii) each Party shall promptly return or destroy all Confidential Information of the other Party in its possession, and (iii) Customer shall immediately discontinue use of the Compression Services and Documentation.

• Notwithstanding anything to the contrary in this Agreement, EVEMeta may monitor Customer’s use of the Compression Services and collect and compile data and information related to Customer’s use of the Compression Services to be used by EVEMeta in an aggregated and anonymized manner, including to compile statistical and performance information related to the provision and operation of the Compression Services to Customer (“Aggregated Statistics”).

• EVEMeta warrants that its provisions of the Compression Services, and its use and processing of Customer Data, will comply with all applicable Laws and regulations, including but not limited to the General Data Protection Regulation, the California Consumer Privacy Act, and other applicable privacy and data protection laws.

• Customer shall use reasonable efforts to make all Authorized Users aware of this Agreement’s provisions as applicable to such Authorized User’s use of the Compression Services and shall cause Authorized Users to comply with such provisions.

• Immediately upon written notice if XXXXxxx fails to meet the agreed-upon service levels, performance requirements, or experiences recurring service outages that materially impair Customer’s ability to use the Compression Services for its intended business purposes, and such failures remain uncured for thirty (30) days after Customer’s written notice to EVEMeta.

• Subject in all respects to the confidentiality provisions of Section 5, EVEMeta may compile Aggregated Statistics based on Customer Data input into the Compression Services.

• Customer reserves the right, upon reasonable prior written notice to EVEMeta, to audit and inspect EVEMeta’s documentation and policies related to its provision of the Compression Services under this Agreement, for the purposes of ensuring EVEMeta’s compliance with its obligations under this Agreement, including but not limited to obligations related to data security, confidentiality, and compliance with applicable law.

• As between Customer and EVEMeta, (a) EVEMeta owns all right, title, and interest, including all intellectual property rights, in and to the Compression Services and (b) Customer owns all right, title, and interest, including all intellectual property rights, in and to Customer Data.

• Stock Consideration: In exchange for provision of the Compression Services and licenses as provided for under the Agreement, the Customer has agreed to issue to EVEMeta 312,500 shares of locked-up Customer Common Stock upon the execution of the Agreement.

• Customer is responsible and liable for all uses of the Compression Services and Documentation resulting from access provided by Customer, directly or indirectly, whether such access or use is permitted by or in violation of this Agreement.

THE REDACTED MATERIAL HAS BEEN FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION, AND THE TERMS HAVE BEEN MARKED AT THE APPROPRIATE PLACE WITH TWO ASTERISKS (**).

Compression Services means compression services provided on an applicable Individual System in order to: (a) with respect to Execution Date Compression Receipt Points, provide Existing Pressure Service, unless Gatherer is excused from providing Existing Pressure Service for such Execution Date Compression Receipt Points under Section 6.4(b); (b) with respect to those Receipt Points at which Gatherer is to provide Tier 1 Pressure Service as set forth in Sections 6.4(e), 6.4(f) and 6.4(g), provide such Tier 1 Pressure Service; (c) with respect to those Receipt Points at which Gatherer is to provide Tier 2 Pressure Service as set forth in Sections 6.4(e), 6.4(f) and 6.4(g) provide such Tier 2 Pressure Service, and (d) with respect to Receipt Points on the Xxxxxxx Xxxxx System, provide Xxxxxxx Xxxxx Pressure Service, in each case in accordance with the terms of this Agreement. For the avoidance of doubt, the services described in subsections (a), (b), (c) and (d) of this definition are the only Compression Services that Gatherer is obligated to provide under this Agreement.

For the avoidance of doubt, the services described in subsections (a), (b) and (c) of this definition are the only Compression Services that Gatherer is obligated to provide under this Agreement.

Compression Services means the provision by a Person of natural gas contract compression services to a third-party customer, whether pursuant to a Master Compression Services Agreement, a lease arrangement pursuant to which such Person leases Compression Equipment to a third-party customer (whether or not required to provide other compression services to such customer pursuant to one or more agreements) or otherwise.
