Confidential Customer Information definition

Confidential Customer Information has the meaning set out in clause 5(1); "Consumer-Owned" has the meaning given to it in section 54D of the Commerce Act 1986;

  • ESE shall require its Representatives to comply with the Information Security Requirements for Vendors and External Partners prior to disclosure of Confidential Customer Information and ESE shall be liable for any act or omission of its Third Party Representative, including without limitation, those acts or omissions that would constitute a breach of this Agreement.

  • ESE may provide Confidential Customer Information to a Third-Party representative without a direct electronic connection with E Source, to assist the ESE in providing permitted Services, but an ESE utilizing such Third Party Representative shall be solely responsible and fully liable for the actions of the Third Party Representative.

  • The Parties acknowledge that disclosure or misuse of Confidential Customer Information in violation of this Agreement may result in irreparable harm to E Source, the amount of which may be difficult to ascertain and which may not be adequately compensated by monetary damages, and that therefore E Source shall be entitled to specific performance and/or injunctive relief to enforce compliance with the provisions of this Agreement.

  • To the extent lawfully allowable, the Parties shall each have the independent right to consult and the Parties will cooperate, in advance of any disclosure, to undertake any lawfully permissible steps to reduce and/or minimize the extent of Confidential Customer Information that must be disclosed.

  • At all times, E Source shall have the right for cause to request reasonable further assurances that the foregoing restrictions and protections concerning Confidential Customer Information are being observed and ESE shall be obligated to promptly provide E Source with the requested assurances.


More Definitions of Confidential Customer Information

Confidential Customer Information means all non-public or confidential information that relates to personal financial information and identities of clients and customers, including, but not limited to names, social security numbers, employer identification numbers, tax identification numbers or other identifying information, which may be disclosed, directly or indirectly, whether or not by mistake, by or from the Borrower’s controlling persons, directors, officers, employees, Affiliates, associates, agents or advisors, to Lenders either in writing, orally or in any other form or medium, including but not limited to, loan tapes, deposit tapes, securities tapes, documents and records.
Confidential Customer Information means all information which a Party ("the first Party") provides to the other Party on a confidential basis, or which the other Party holds or obtains, concerning a particular person who is or intends to become a Customer of the first Party. It includes the fact that the person intends to subscribe for or has subscribed for any of the first Party's services and includes information about the Customer which is generated from usage records made by that Customer or by End-Users of any service provided to that Customer that relies (in whole or in part) on the UCLF Co-location Service but excludes the contents of these UCLF Co- location Terms itself and any information (including information which was formerly Confidential Customer Information):

Confidential Customer Information means, with respect to a given Security Issue and Vendor Customer, any of the following information to the extent Vendor is prohibited from disclosing or transferring the same to PCI SSC pursuant to a valid written agreement between Vendor and such Vendor Customer: (1) the name of the applicable Vendor Customer and any other information the disclosure of which to PCI SSC is reasonably likely to enable PCI SSC to determine the identity of such Vendor Customer, (2) information regarding the specific impact of such Security Issue on such Vendor Customer and (3) any valuable trade secret information of such Vendor Customer.
Confidential Customer Information means, with respect to a given Security Issue and Vendor Customer, any of the following information to the extent Vendor is prohibited from disclosing or transferring the same to PCI SSC pursuant to a valid written agreement between Vendor and such Vendor Customer: (1) the name of the applicable Vendor Customer and any other information the disclosure of which to PCI SSC is reasonably likely to enable PCI SSC to determine the identity of such Vendor Customer, (2) information regarding the specific impact of such Security Issue on such Vendor Customer and (3) any valuable trade secret information of such Vendor Customer. Vendor shall comply with all applicable Program Requirements, including without limitation, the terms of this Agreement, requirements regarding payment to PCI SSC of all applicable vendor fees for each Program in which Vendor is a participant ("Program Fees") as and in the manner provided for in the applicable vendor fee schedule provided on the Website or elsewhere in the Program Documents, and requirements relating to Self-Assessments performed by Vendor. PCI SSC. Following Acceptance of a Product by PCI SSC, PCI SSC will communicate such Acceptance to the Assessor in accordance with the Program Documents, and post applicable details regarding the Product and Vendor on the Validated Product List. A Product is deemed to have been “Accepted” (and “Acceptance” is deemed to have occurred) when all of the following conditions have been met: (i) PCI SSC has received the corresponding Assessment Report regarding the Contracted Assessment of the Product from the Assessor in which the Assessor determines that the Product satisfies all applicable Program Requirements; (ii) PCI SSC has confirmed that the Assessment Report is correct as to form, that the Assessor adequately reported the compliance of the Product in accordance with applicable Program Requirements and that the detail provided in the Assessment Report meets Program Requirements; (iii) PCI SSC has received all applicable Program Fees and all other documentation required with respect to the Product; and (iv) PCI SSC has listed the Product on the Validated Product List (provided that PCI SSC may suspend, withdraw, revoke, cancel or place conditions upon (including without limitation, complying with remediation requirements) Acceptance of any Listed Product in accordance applicable with Program Requirements).
