Consigned Components definition

Consigned Components means those components or materials specifically identified in Schedule 1 as “consigned” and provided by or on behalf of iRobot to Kin Yat for assembly into Products.

Consigned Components means those components that are provided by or on behalf of Company, to Jabil, at Company’s expense for assembly into Products, including those Components or materials specifically identified in writing by Company as “consigned.”

Consigned Components has the meaning specified in EXHIBIT E.

Examples of Consigned Components in a sentence

• Company shall be solely responsible for delay in delivery, defects and enforcement of warranties related to the Consigned Components, and Company shall hold Jabil harmless from any claims arising therefrom pursuant to Section 19.2. Any Loaned Equipment that Company requests Jabil to accept shall be subject to specific acceptance criteria (including maintenance and repair schedules) that are mutually created and mutually agreed upon.

• Company will be responsible for managing the pipeline of Company controlled Consigned Components.

• In the event that Kin Yat’s failure to utilize [***] inventory management for all Consigned Components results in any such Component remaining in Kin Yat’s inventory for more than [***], then Kin Yat shall, at its own expense, coordinate with the applicable supplier for the return and replacement of such Components for new or properly updated Components.

• Kin Yat will be responsible for managing the pipeline of all Assigned Components, Generic Components, and any Consigned Components controlled by Kin Yat.

• Except for any Consigned Components controlled by Kin Yat pursuant to this Section 3.10.1, iRobot shall be solely responsible for delay in delivery, defects and enforcement of warranties related to all Consigned Components.

More Definitions of Consigned Components

Consigned Components means any Components designated as “Consigned Components” on the Xxxx of Materials.

Consigned Components refers to those Components provided to EI for assembly into Products where VOLCANO retains all ownership interest and obligations in those Consigned Components.

Consigned Components means those products listed on Exhibit A to this Agreement which will be supplied by LGSA to Tanisys for the performance of the manufacturing services pursuant to this Agreement. Title to the Consigned Components shall at all times remain in LGSA, but risk of loss and damage to any item of the Consigned Components shall pass to Tanisys during all such times as the items are in the possession of Tanisys, or any employee, subcontractor, or agent of Tanisys.

Consigned Components refers to those Components provided to Flextronics for assembly into Products where Agilent retains all ownership interest and obligations in those Consigned Components.

Consigned Components means and include any and all material or components owned by Toshiba and provided to Tanisys for the performance of the Services. Title to the Consigned Components shall at all times remain in Toshiba, but risk of loss and damage to any item of the Consigned Components shall pass to Tanisys during such time as the item is in the possession of Tanisys or any employee, subcontractor or agent of Tanisys. Consigned Components may be shipped directly to Tanisys under this contract. Any Consigned Components not used in the manufacturing process will be immediately returned to Toshiba's inventory and added to the inventory records. Any Consigned Component that fails in the manufacturing process will be returned immediately to Toshiba with a complete explanation of the cause of the failure. Upon completion of the Tanisys and Toshiba Inventory Management Service Agreement ("IMSA"), the Consigned Components shipping instructions by Toshiba may be taken directly from Toshiba's inventory which is managed by Tanisys under the terms of the executed IMSA.
