Contributed Technology definition

Contributed Technology means any PeopleSoft software products or other technology that PeopleSoft agrees to provide to Momentum during the work plan and cost estimate approval process.
Contributed Technology means copies of the items of (i) software and designs identified in Exhibit A-5; and (ii) documentation, email (including any documentation included therein, such as attachments), correspondence, messages and other communications identified in Exhibit A-5, in the case of each of (i) and (ii), solely to the extent such items are exclusively used by or held for use in the Serve Business. For the avoidance of doubt, Contributed Technology does not include any Intellectual Property Rights that may be embodied thereby.
Contributed Technology means Technology included in the Contributed Assets as well as any Technology included in the Newly Developed IP (as defined in any of the Services Agreements) developed by Seller for Licensor under any of the Services Agreements.”

Related to Contributed Technology

  • Transferred Technology has the meaning set forth in Section 2.3(a).

  • Developed Technology means any Technology including, without limitation, any enhancements, substitutions or improvements to the Core Technology that is (a) discovered, developed or otherwise acquired by DURA pursuant to the terms of the Development Agreement or (b) otherwise acquired by or on behalf of Xxxxxx Corp. II during the term of the Development Agreement.

  • Controlled technical information means technical information with military or space application that is subject to controls on the access, use, reproduction, modification, performance, display, release, disclosure, or dissemination. Controlled technical information would meet the criteria, if disseminated, for distribution statements B through F using the criteria set forth in DoD Instruction 5230.24, Distribution Statements on Technical Documents. The term does not include information that is lawfully publicly available without restrictions.

  • Program Technology means Program Know-How and Program Patents.

  • Licensor Technology means the Licensor Patents, the Licensor Know-How, Licensor Materials, and Non-Patent Rights Controlled by Licensor or its Affiliates embodied in Licensor Know-How or Licensor Materials.

Background Technology must: (a) be identified as Background Technology in the Statement of Work; and (b) have been developed or otherwise acquired by Contractor prior to the date of the Statement of Work, or have been developed by Contractor outside of its performance under the Statement of Work. Background Technology will also include any general consulting tool or methodology created by Contractor, which will not be required to be identified in the Statement of Work.

  • Collaboration IP means Collaboration Know-How and Collaboration Patents.

  • After-Acquired Intellectual Property has the meaning assigned to such term in Section 4.02(d).

  • Foreground IPR means any and all Intellectual Property Rights generated individually by either of the Parties or by jointly both of the Parties in the execution of the Contract.
