Controlled Group Plans definition

Controlled Group Plans shall have the meaning set forth in Section 3.28(g).
Controlled Group Plans means the multi-employer Benefit Plans adopted by the Controlled Group that are applicable to the employees of the Business.
Controlled Group Plans as defined in Section 3.10(b)(ix).

More Definitions of Controlled Group Plans

Controlled Group Plans. (A) there are no material unfunded Liabilities existing under any Controlled Group Plan and each Controlled Group Plan could be terminated as of the Closing Date with no material Liability to the Company, and (B) each Controlled Group Plan has been operated, administered, funded and maintained at all times in material compliance with its terms and with ERISA, applicable Tax qualification requirements and all other applicable Legal Requirements. The Company has no Liability, including any direct or indirect contingent Liability, in connection with any Controlled Group Plan that has been terminated.

Related to Controlled Group Plans

  • Controlled Group means all members of a controlled group of corporations or other business entities and all trades or businesses (whether or not incorporated) under common control which, together with the Borrower or any of its Subsidiaries, are treated as a single employer under Section 414 of the Code.

  • Controlled Group Member means each trade or business (whether or not incorporated) which together with the Borrower is treated as a single employer under Sections 4001(a)(14) or 4001(b)(1) of ERISA or Sections 414(b), (c), (m) or (o) of the Code.

  • Commonly Controlled Entity an entity, whether or not incorporated, that is under common control with the Borrower within the meaning of Section 4001 of ERISA or is part of a group that includes the Borrower and that is treated as a single employer under Section 414 of the Code.

  • ERISA Group means the Borrower, any Subsidiary and all members of a controlled group of corporations and all trades or businesses (whether or not incorporated) under common control which, together with the Borrower or any Subsidiary, are treated as a single employer under Section 414 of the Internal Revenue Code.

  • Pension Benefit Plan means at any time any employee pension benefit plan (including a Multiple Employer Plan, but not a Multiemployer Plan) which is covered by Title IV of ERISA or is subject to the minimum funding standards under Section 412 of the Code and either (i) is maintained by any member of the Controlled Group for employees of any member of the Controlled Group; or (ii) has at any time within the preceding five years been maintained by any entity which was at such time a member of the Controlled Group for employees of any entity which was at such time a member of the Controlled Group.

  • ERISA Plans shall have the meaning set forth in Section 3.13(a).

  • Employee Plans means all Benefit Arrangements, Multiemployer Plans, Pension Plans and Welfare Plans.

  • Pension Plan means any “employee pension benefit plan” (as such term is defined in Section 3(2) of ERISA), other than a Multiemployer Plan, that is subject to Title IV of ERISA and is sponsored or maintained by the Borrower or any ERISA Affiliate or to which the Borrower or any ERISA Affiliate contributes or has an obligation to contribute, or in the case of a multiple employer or other plan described in Section 4064(a) of ERISA, has made contributions at any time during the immediately preceding five plan years.

  • Multiemployer Plans means “multiemployer plans” as defined by Section 3(37) of ERISA.
