Employees of the Business definition

Employees of the Business means all Persons employed on the Closing Date by any of the Target Companies or Target Subsidiaries.
Employees of the Business has the meaning assigned to such term in Section 6.2.

  • No trade union, council of trade unions, employee bargaining agency or affiliated bargaining agent holds bargaining rights with respect to any of the Employees of the Business by way of certification, interim certification, voluntary recognition, or successor rights.

  • Other than Employees and Former Employees of the Business (and their applicable beneficiaries), no individuals participate in or are otherwise entitled to receive benefits from Seller’s Pension Plans.

Employees of the Business means all Persons employed on the Closing Date by Seller, including any employees who are on approved leave of absence (including medical leave) or vacation provided that such Person returns to work within 180 days after the Closing but excluding any officers of Seller who are employees of Parent or any other Persons who are not employed by Seller in connection with the Business.
Employees of the Business means all Persons employed on the Closing Date by the Target Company who are actively at work but also including any employees who are on an approved short-term leave of absence (including medical leave) or vacation provided that any such Person returns to work within 180 days of the earlier of the date the leave began or Closing. "Environmental, Health, and Safety Requirements" means all federal, state or local statutes, regulations, and ordinances concerning public health and safety, worker health and safety, pollution, or protection of the environment, including all those relating to the presence, use, production, generation, handling, transportation, treatment, storage, disposal, distribution, labeling, testing, processing, discharge, release, threatened release, control, or cleanup of any hazardous materials, substances, or wastes, as such requirements are enacted and in effect on or prior to the Closing Date.
Employees of the Business means an employee of the Acquired Companies or any member of the Seller Group or one of their respective Subsidiaries that is employed in the Business, including any employee deemed to be an “Employee of the Businesspursuant to Section 5.1(b)(ii).
Employees of the Business means (i) all Persons employed on the Closing Date by the Target Companies and their Subsidiaries, except those employees listed on Exhibit A attached hereto and (ii) those employees of the Asset Sellers who on the Closing Date work in the operation of the Business (such employees as of the date hereof listed on Exhibit A attached hereto), including in all cases, any Inactive Employees. "Environmental, Health, and Safety Requirements" means all federal, state, local, and foreign statutes, regulations, ordinances, legally binding rulings or other requirements of any Governmental Entity, other than statutes, regulations, ordinances, rulings or other requirements of any Governmental Entity, including the FDA, the U.S. Drug Enforcement Agency, the Centers for Medicare and Medicaid Services of the U.S. Department of Health and Human Services, and Foreign Authorities, with respect to the manufacture, sale, labeling, storing, testing, distribution, promotion and marketing of the Products, concerning public health and safety, worker health and safety, pollution, or protection of the environment, including all those relating to the presence, use, production, generation, handling, transportation, treatment, storage, disposal, distribution, labeling, testing, processing, discharge, release, threatened release, control, or cleanup of any hazardous materials, substances, or wastes, as such requirements are enacted and in effect on or prior to the Closing Date.
Employees of the Business has the meaning set forth in Section 4.16 of the Master Agreement.

Employees of the Business means those employees of Seller and the Selling Affiliates (i) who on the applicable Closing Date spends at least 75% of his or her work effort in the operation of the Business or (ii) whose employment will transfer to Buyer or one of its Affiliates on the applicable Closing Date by operation of applicable Law, including in all cases, any such employee who as of the applicable Closing Date is on approved leave of absence (including medical leave and short-term or long-term disability) or vacation; provided that such employee returns to work within 180 days after the applicable Closing Date or is otherwise entitled to reinstatement under any applicable Law upon presenting themselves for duty to the Business; provided, further, that “Employees of the Business” shall not include any individual set forth on Schedule 1.01(b). For the avoidance of doubt, the Closing Date applicable to each such employee shall be the Closing Date applicable to the Country Unit in which such employee is primarily employed. Notwithstanding the preceding provisions, unless otherwise agreed to by the parties in writing, the “Employees of the Business” shall constitute only those employees listed on Schedule 1.01(c) and any replacements for those employees.
