Converted Stock Amount definition

Converted Stock Amount means the total number of shares of Converted Stock outstanding immediately prior to the Closing Date.
Converted Stock Amount means a number of shares equal to the sum of the number of shares of Company Stock outstanding immediately prior to the Effective Time.
Converted Stock Amount means (i) the total number of shares of NDC Common Stock issuable upon conversion of the Series A-1 Stock and Series A-2 Stock outstanding immediately prior to the Effective Time plus (ii) the total number of shares of NDC Common Stock outstanding immediately prior to the Effective Time, in each case other than shares of NDC Stock to be cancelled pursuant to Paragraph (c) of 2.5.3.

  • Company RSU Award means any award of restricted stock units or performance stock units outstanding under the Company Stock Plans.

  • Limited Stock Appreciation Right means an Award of a limited Tandem Stock Appreciation Right or a Non-Tandem Stock Appreciation Right made pursuant to Section 7.5 of this Plan.

  • INDEPENDENT STOCK APPRECIATION RIGHT or "INDEPENDENT RIGHT" means a right granted pursuant to subsection 8(b)(3) of the Plan.

  • Company Preferred Stock means the preferred stock, par value $0.0001 per share, of the Company.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Parent Stock Price means the average closing price, rounded to the nearest cent, of Parent Common Stock for the five (5) trading days immediately preceding the fifth (5th) business day prior to the Closing Date.

  • Parent Stock Plan has the meaning set forth in Section 6.2(a).

  • Company Series A Preferred Stock means the Series A Preferred Stock, par value $0.0001 per share, of the Company.

  • Common Stock Price means, as of a particular date, the average of the Fair Market Value of one share of Common Stock over the fifteen (15) consecutive trading days ending on, and including, such date (or, if such date is not a trading day, the most recent trading day immediately preceding such date); provided, however, that if such date is the date upon which a Transactional Change of Control occurs, the Common Stock Price as of such date shall be equal to the fair value, as determined by the Committee, of the total consideration paid or payable in the transaction resulting in the Transactional Change of Control for one share of Common Stock.
