Core Properties means any PCS System or Investment therein directly owned by the Borrower or any of its Restricted Subsidiaries, which is proposed to be sold, assigned or otherwise transferred, in a transaction or series of transactions in which such PCS System or Investment therein would generate Net Proceeds in excess of $10,000,000. As of the Agreement Date, the "Core Properties" are the PCS Systems owned and operated (or, in the case of Seattle, Washington and Phoenix/Tucson, Arizona, under construction) by the Borrower and its Restricted Subsidiaries pursuant to MTA Licenses for Salt Lake City; Honolulu; El Paso; Albuquerque; Denver; Portland; Oklahoma City; and the retained portion of Des Moines; and pursuant to BTA Licenses for Seattle-Tacoma and Olympia-Centralia, Washington; and Phoenix and Tucson, Arizona.

Core Properties means: (i) the Arctic Deposit; (ii) the Bornite Deposit; (iii) the Sunshine Deposit; (iv) all other areas of the Properties where Site Disturbance Work have at any time prior to the Closing Date been carried out or undertaken by or on behalf of Trilogy, NovaGold, the Contributor or any of their respective Affiliates; and (v) all other areas of the Properties where any activities (other than Site Disturbance Work) have at any time prior to the Closing Date been carried out or undertaken by or on behalf of Trilogy, NovaGold, the Contributor or any of their respective Affiliates which have created or given rise to or which may create or give rise to Environmental Liabilities;

Core Properties means, individually each, and collectively all of, the Properties set forth on Schedule 1.1(b), less and except any Disposed Core Property.

Core Properties means, collectively, each of the parcels of Real Property Collateral identified on Schedule A-1 and any other parcel of Real Property Collateral designated by the Agent from time to time in its Agent's Discretion as a "Core Property".

Core Properties means the Material Properties and the Rainy River Project.
