Corporation Parties definition

Corporation Parties means the Corporation and the Subsidiaries;
Corporation Parties means the Corporation, the Corporation’s Subsidiaries, and any parent holding company of the Corporation, collectively.
Corporation Parties has the meaning set out in Section 5.4;

Examples of Corporation Parties in a sentence

  • The Corporation Parties are in compliance in all material respects with, and are not in breach of, any financial covenants or otherwise in respect of any existing debt obligations, security agreements, and guarantees of the Corporation or the Subsidiaries, as applicable.

  • The Releasing Parties recognize that they may have some claim, demand, or cause of action against the Corporation Parties of which they are totally unaware and unsuspecting, and that the Releasing Parties are giving up such claims, demands, and causes of action by execution of this release.

  • The Corporation Parties are in compliance with all laws and regulations respecting employment and employment practices, terms and conditions of employment, pay equity and wages, except where such non-compliance would not, individually or in the aggregate, have a Material Adverse Effect, and have not and is not engaged in any unfair labour practice.

  • The Corporation and each Subsidiary Entity of the Corporation are referred to in this Certificate of Incorporation as "Corporation Parties".

  • The Corporation Parties maintain insurance policies with reputable insurers against risks of loss of or damage to their properties, assets and business, of such types as are customary in the case of entities engaged in the same or similar businesses as the Corporation.

  • Time is of the essence in the performance by the Corporation Parties of their respective obligations under this Agreement.

Related to Corporation Parties

  • Transaction Parties As defined in Section 5.3(o).

  • COAH means the Council on Affordable Housing, which is in, but not of, the Department of Community Affairs of the State of New Jersey, that was established under the New Jersey Fair Housing Act (N.J.S.A. 52:27D-301 et seq.).

  • Certification Parties As defined in Section 11.09.

  • Parent Parties means Parent and Merger Sub.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • School Corporation means the Western Xxxxx County Community School Corporation of the County of Xxxxx of the State of Indiana;

  • Company Entities means the Company and the Company Subsidiaries.

  • Security Parties means at any relevant time, the Borrower, the Guarantor, the Pledgor, the Target, the Vessel Owners and any other person who may at any time during the Facility Period be liable for, or provide security for, all or any part of the Indebtedness, and “Security Party” means any one of them.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • MergerSub has the meaning set forth in the preamble hereto.

  • Service corporation means a corporation organized under ss. 180.1903 to 180.1921.

  • Natural parent means a minor's biological or adoptive parent, and includes the minor's noncustodial parent.

  • Representative Plaintiffs means Plaintiffs Xxxxx Xxxxxxx, Xxxxxxx Xxxxxxx, and Xxxxxx X. Xxxxx.

  • Corporation/ Corpn./ Department means the Central Warehousing Corporation.

  • Organized criminal group means a structured group of three or more persons, existing for a period of time and acting in concert with the aim of committing one or more serious crimes or offences established in accordance with this Convention, in order to obtain, directly or indirectly, a financial or other material benefit;

  • Transferee’s Principals means collectively, (A) Transferee’s managing members, general partners or principal shareholders and (B) such other members, partners or shareholders which directly or indirectly shall own a fifty-one percent (51%) or greater economic and voting interest in Transferee.

  • Acquisition Sub shall have the meaning set forth in the Preamble.

  • Common parent, as used in this provision, means that corporate entity that owns or controls an affiliated group

  • Investor Parties has the meaning set forth in the Preamble.

  • Parent means a "parent corporation," whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Construction Parties means all of the Parties to a Construction Service Agreement.

  • Parent Companies means, collectively, (i) Charter, (ii) Charter Holdings, (iii) Charter Communications Holding Company, LLC, a Delaware limited liability company, and (iv) CCH II.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Merger Subsidiary has the meaning set forth in the preamble to this Agreement.

  • Entities means event and competition organisers/promoters/managers, land and track owners/managers/administrators/lessees, CAMS affiliated clubs, state and territory governments and insured listed in CAMS’ public/product/professional indemnity insurance policies and each of their related bodies corporate (including their related bodies corporate) and each of their organs and agencies, officers/president/directors/executives, employees, servants, agents, partners, providers, members, competitors, drivers, co-drivers, navigators, officials, crew members, pit crew, delegates, licence holders, representatives, commissions, committees, advisers, trustees, councils, panels, shareholders, volunteers, officials, appointees, delegated bodies and sponsors.

  • The Parents /"You" means any person who has signed the Acceptance Form and/or who has accepted responsibility for a child's attendance at this School. Parents are legally responsible, individually and jointly, for complying with their obligations under these Terms and Conditions. Those who have "parental responsibility" (i.e. legal responsibility for the child) are entitled to receive relevant information concerning the child unless a court order has been made to the contrary, or there are other reasons which justify withholding information to safeguard the interests and welfare and best interests of the child.
