Corporation Parties definition

Corporation Parties means the Corporation and its Subsidiaries.
Corporation Parties means the Corporation, the Corporation’s Subsidiaries, and any parent holding company of the Corporation, collectively.
Corporation Parties has the meaning set out in Section 5.4;

Examples of Corporation Parties in a sentence

  • The Corporation Parties are in compliance in all material respects with, and are not in breach of, any financial covenants or otherwise in respect of any existing debt obligations, security agreements, and guarantees of the Corporation or the Subsidiaries, as applicable.

  • Construction time is estimated at eight hundred (800) calendar days.

Related to Corporation Parties

  • Transaction Parties As defined in Section 5.3(o).

  • COAH means the Council on Affordable Housing, which is in, but not of, the Department of Community Affairs of the State of New Jersey, that was established under the New Jersey Fair Housing Act (N.J.S.A. 52:27D-301 et seq.).

  • Certification Parties As defined in Section 11.09.

  • Parent Parties means Parent and Merger Sub.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • School Corporation means the Western Xxxxx County Community School Corporation of the County of Xxxxx of the State of Indiana;

  • Company Entities means the Company and the Company Subsidiaries.

  • Security Parties means at any relevant time, the Borrower, the Guarantor, the Pledgor, the Target, the Vessel Owners and any other person who may at any time during the Facility Period be liable for, or provide security for, all or any part of the Indebtedness, and “Security Party” means any one of them.

  • Operating Companies means EAI, EMI, ELI and ENOI, each being an "Operating Company".

  • MergerSub means Actavis W.C. Holding 2 LLC, a company organized in Nevada.

  • Service corporation means a corporation organized under ss. 180.1903 to 180.1921.

  • Natural parent means a minor's biological or adoptive parent, and includes the

  • Corporation/ Corpn./ Department means the Central Warehousing Corporation.

  • Organized criminal group means a structured group of three or more persons, existing for a period of time and acting in concert with the aim of committing one or more serious crimes or offences established in accordance with this Convention, in order to obtain, directly or indirectly, a financial or other material benefit;

  • Common parent, , as used in this provision, means that corporate entity that owns or controls an affiliated group of corporations that files its Federal income tax returns on a consolidated basis, and of which the offeror is a member.

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Construction Parties means all of the Parties to a Construction Service Agreement.

  • Parent Companies means, collectively, (i) Charter, (ii) Charter Holdings, (iii) Charter Communications Holding Company, LLC, a Delaware limited liability company, and (iv) CCH II.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Merger Subsidiary has the meaning set forth in the preamble to this Agreement.

  • Entities means event and competition organisers/promoters/managers, land and track owners/managers/administrators/lessees, CAMS affiliated clubs, state and territory governments and insured listed in CAMS’ public/product/professional indemnity insurance policies and each of their related bodies corporate (including their related bodies corporate) and each of their organs and agencies, officers/president/directors/executives, employees, servants, agents, partners, providers, members, competitors, drivers, co-drivers, navigators, officials, crew members, pit crew, delegates, licence holders, representatives, commissions, committees, advisers, trustees, councils, panels, shareholders, volunteers, officials, appointees, delegated bodies and sponsors.

  • The Parents /"You" means any person who has signed the Acceptance Form and/or who has accepted responsibility for a child's attendance at this School. Parents are legally responsible, individually and jointly, for complying with their obligations under these Terms and Conditions. Those who have "parental responsibility" (i.e. legal responsibility for the child) are entitled to receive relevant information concerning the child unless a court order has been made to the contrary, or there are other reasons which justify withholding information to safeguard the interests and welfare and best interests of the child.

  • Companies means Borrower and its Subsidiaries; and “Company” shall mean any one of them.

  • CGS means the Connecticut General Statutes.

  • Professional corporation means a corporation incorporated under former 1962 PA 192, or a corporation incorporated under this act and governed by chapter 2A.
