Credit Agreement Refinancing definition

Credit Agreement Refinancing has the meaning set forth in Section 9.1(o)).
Credit Agreement Refinancing means that the Credit Agreement is amended, restated, supplemented or replaced and after giving effect thereto each of the following conditions are then satisfied: (i) the “Maturity Date” (or other similar or replacement term) under the Credit Agreement (or the replacement thereof) is no earlier than October 11, 2024 and (ii) the Consolidated Cash Balance immediately after giving effect to such amendment, restatement, supplement or replacement of the Credit Agreement is at least $220,000,000.
Credit Agreement Refinancing means (i) the amendment of, and/or waiver under, the Credit Agreement, (ii) the refinancing or repayment, in whole or in part, of the Indebtedness outstanding as of the date hereof under the Credit Agreement, and/or (iii) the entering into and incurrence of indebtedness under any asset-based indebtedness permitted to be incurred pursuant to the Credit Agreement, in the case of clauses (i) through (iii) above, on terms and conditions reasonably satisfactory to the Investor (such consent not to be unreasonably withheld, conditioned or delayed) provided that, in the aggregate, at least ninety percent (90%) of the principal amount outstanding of the “Tranche B Term Loans” (as defined in the Credit Agreement) thereunder, as of the date hereof, shall have been repaid (other than with proceeds of any revolving facility under the Credit Agreement or the Credit Agreement Refinancing Documentation) or extended their maturity date to March 4, 2021 (without regard to any potential acceleration or springing maturity terms); provided, further, that the proposed terms and conditions of any such amendment, waiver, refinancing, repayment or incurrence shall be deemed to be reasonably satisfactory to Investor if, following written notice of such terms and conditions by the Company, Investor does not object in writing within three (3) Business Days after receipt of the Company’s written notice.

  • Each of the parties hereto hereby agrees that, upon the effectiveness of any Refinancing Amendment, this Agreement shall be deemed amended to the extent (but only to the extent) necessary to reflect the existence and terms of the Credit Agreement Refinancing Indebtedness incurred pursuant thereto (including any amendments necessary to treat the Loans and Commitments subject thereto as Other Term Loans and/or Other Term Commitments).

Credit Agreement Refinancing has the meaning set forth in the recitals to this Agreement. “Credit Party” means the Administrative Agent, any Issuing Bank or any other Lender. “Current Assets” means, as of any date of determination, without duplication, the sum of all amounts that would, in accordance with GAAP, be set forth opposite the caption “total current assets” (or any like caption) on a consolidated balance sheet of the Borrower and the other Group Members at such date, plus the unused Commitments then available to be borrowed, but excluding all non-cash assets under FASB ASC Topic 815. “Current Liabilities” means, as of any date of determination, without duplication, the sum of all amounts that would, in accordance with GAAP, be set forth opposite the caption “total current liabilities” (or any like caption) on a consolidated balance sheet of the Borrower and the other Group Members on such date, but excluding (a) all non-cash obligations under FASB ASC Topic 815 and (b) the current portion of the Loans and obligations in respect of Letters of Credit under this Agreement. “Current Ratio” means, with respect to the Borrower and the Consolidated Restricted Subsidiaries for any date of determination, the ratio of (a) Current Assets as of the last day of the most recently ended Fiscal Quarter (which may be such date of determination) to (b) Current Liabilities as of the last day of the most recently ended Fiscal Quarter (which may be such date of determination). “Default” means any event or condition which constitutes an Event of Default or which upon notice, lapse of time or both would, unless cured or waived, become an Event of Default. “Defaulting Lender” means, subject to Section 2.10, any Lender that (a) has failed, within two (2) Business Days of the date required to be funded or paid, to (i) fund any portion of its Loans, (ii) fund any portion of its participations in Letters of Credit or (iii) pay over to the Administrative Agent, any Issuing Bank or any other Lender any other amount required to be paid by it hereunder, unless, in the case of clause (i) above, such Lender notifies the Administrative Agent in writing that such failure is the result of such Lender’s good faith determination that a condition precedent to funding (specifically identified and 8 007870-0083-15888-Active.27383864

  • Credit Agreement Refinancing Indebtedness means (a) Permitted First Priority Refinancing Debt, (b) Permitted Junior Priority Refinancing Debt or (c) Permitted Unsecured Refinancing Debt, in each case, issued, incurred or otherwise obtained (including by means of the extension or renewal of existing Indebtedness) in exchange for, or to extend, renew, replace, repurchase, retire or refinance, in whole or part, existing Term Loans, or any then-existing Credit Agreement Refinancing Indebtedness (“Refinanced Debt”); provided that (i) such Indebtedness has a maturity no earlier, and a Weighted Average Life to Maturity equal to or greater, than 91 days after the Latest Maturity Date at the time such Indebtedness is incurred, (ii) such Indebtedness shall not have a greater principal amount (or accreted value, if applicable) than the principal amount (or accreted value, if applicable) of the Refinanced Debt plus accrued interest, fees, premiums (if any) and penalties thereon and reasonable fees and expenses associated with the refinancing, (iii) the terms and conditions of such Indebtedness (except as otherwise provided in clause (ii) above and with respect to pricing, rate floors, discounts, premiums and optional prepayment or redemption terms) are substantially identical to, or (taken as a whole) are no more favorable to the lenders or holders providing such Indebtedness, than those applicable to the Refinanced Debt being refinanced (except for covenants or other provisions applicable only to periods after the Latest Maturity Date at the time of incurrence of such Indebtedness) (provided that a certificate of a Responsible Officer delivered to the Agent at least five (5) Business Days prior to the incurrence of such Indebtedness, together with a reasonably detailed description of the material terms and conditions of such Indebtedness or drafts of the documentation relating thereto, stating that the Parent Borrower has determined in good faith that such terms and conditions satisfy the requirement of this clause (iii) shall be conclusive evidence that such terms and conditions satisfy such requirement unless the Agent notifies the Parent Borrower within such five (5) Business Day period that it disagrees with such determination (including a description of the basis upon which it disagrees)), and (iv) such Refinanced Debt shall be repaid, repurchased, retired, defeased or satisfied and discharged, and all accrued interest, fees, premiums (if any) and penalties in connection therewith shall be paid, on the date such Credit Agreement Refinancing Indebtedness is issued, incurred or obtained.

  • Refinancing Facility Agreement means a Refinancing Facility Agreement, in form and substance reasonably satisfactory to the Agent, among Holdings, the Borrower, each Subsidiary of the Borrower party to this Agreement, the Agent and one or more Refinancing Lenders, establishing Refinancing Commitments and effecting such other amendments hereto and to the other Loan Documents as are contemplated by Section 2.26.
