Critical Consents definition

Critical Consents means the Governmental Approvals listed in schedule 2 to the Implementation Agreement.
Critical Consents shall have the meaning set forth in Section 2.6(c) hereof.
Critical Consents means those consents listed as “Critical Consents” on Section 4.04 of the Disclosure Schedule, and all other consents, authorizations or approvals for the assignment, sale, transfer or conveyance to Buyer by Seller of Seller’s right, title and interest in, to or under the Acquired Assets that are reasonably necessary for (a) the continuation of development of (i) the family of Wireless Local Area Network (WLAN) standards designated 802.xx or (ii) Smart Antenna Intellectual Property, or (b) the transition of the Business from Seller to Buyer, or (c) reasonably necessary to utilize the Intellectual Property Rights conveyed pursuant to this Agreement and the Transaction Documents. By way of clarification, a consent, authorization or approval shall be determined to be a Critical Consent based on the definition above and not as a result of the failure to designate it as a “Critical Consent” on Section 4.04 of the Disclosure Schedule, notwithstanding any other disclosure in the Agreement or any Transaction Document.

Examples of Critical Consents in a sentence

  • Subject to the compliance by the Company with its obligations under Clause 6 in relation to submitting applications for Governmental Approvals, the Government shall ensure that the Critical Consents are granted by the Relevant Authorities in accordance with Clause 5.1 on or before the date [30] days prior to the date scheduled for Financial Closing as set forth in the Financing Plan.

  • Material Consents as defined in Section 7.3.

  • Third Party Consents shall have the meaning set forth in Section 8.3.

  • Medical condition means either of the following:

  • Seller Consents has the meaning set forth in Section 3.03.

  • Required Consent has the meaning set forth in Section 4.4.

  • Approvals means all licenses, permits, approvals, certificates and other authorizations granted or issued by any Governmental Authority for the matter or item in question.

  • major non-compliance outcome notification means a notification received by a council under section 19N(3) or (4) of the Food Act 1984, or advice given to council by an authorized officer under that Act, of a deficiency that does not pose an immediate serious threat to public health but may do so if no remedial action is taken

  • Approvals or Notifications means any consents, waivers, approvals, permits or authorizations to be obtained from, notices, registrations or reports to be submitted to, or other filings to be made with, any third Person, including any Governmental Authority.

  • Qualifying medical condition means seizure disorder,

  • Customary Post-Closing Consents means the consents and approvals from Governmental Authorities for the assignment of the Assets to Buyer that are customarily obtained after the assignment of properties similar to the Assets.

  • Critical Path means those Trade Contractor Work activities identified on the Construction Schedule which, if delayed, will cause a corresponding Delay in the Substantial Completion Date.

  • Practical Completion means that stage in the execution of a Named Project when the Works have been completed in accordance with the terms of the relevant Building Contract and/or the terms of this Agreement such that the AHP Dwellings comprised within the Named Project are fit for beneficial occupation as a residential development in accordance with applicable NHBC or equivalent requirements current at the date of inspection subject only to the existence of minor defects and/or minor omissions at the time of inspection which are capable of being made good or carried out without materially interfering with the beneficial use and enjoyment of the Named Project and which would be reasonable to include in a snagging list, and Practically Complete shall be construed accordingly; Process has the meaning ascribed to it in the DPA; Procurement Law means (as the case may be):

  • Consents means any consents, waivers or approvals from, or notification requirements to, any third parties.

  • Serious Medical Condition means all of the following medical conditions:

  • Consents, Clearances and Permits means all authorizations, licenses, approvals, registrations, permits, waivers, privileges, acknowledgements, agreements, or concessions required to be obtained from or provided by any concerned authority for the purpose of setting up of the generation facilities and/ or supply of power;
