Critical Vendor Order definition

Critical Vendor Order means either or both of the Bankruptcy Court's November 20, 2002 Interim Order and the December 5, 2002 Final Order approving the Debtors' Expedited Motion For Authority To Pay Prepetition Claims Of Critical Vendors.
Critical Vendor Order means an order of the Bankruptcy Court authorizing the Debtors to pay the prepetition Claim of a creditor (which may include one or more vendors or retail agents) the Debtors (with the consent of the First Lien Agents and First Lien Lenders) have determined is a “critical vendor.”
Critical Vendor Order means an order by the Bankruptcy Court authorizing the Debtors to make certain payments on account of prepetition obligations to each of the following movie studios: Sony Pictures Home Entertainment Inc., Warner Bros. Home Entertainment Inc., Twentieth Century Fox or any affiliate of the foregoing, on terms acceptable to the Debtors and a Supermajority of Consenting Noteholders.

More Definitions of Critical Vendor Order

Critical Vendor Order means the order of the Bankruptcy Court, dated October 6, 2000, which authorized, but did not require, the Debtors to pay the pre-petition claims of certain critical suppliers of raw and processed materials, goods and services with whom the Debtors continued to do business and whose material, goods and services were essential to the Debtors' business operations.
Critical Vendor Order means the order entered by the Bankruptcy Court on December 28, 2004, as supplemented by a stipulation and supplemental agreed order entered by the Bankruptcy Court on March 25, 2005, which approved payments to the Critical Vendors.
Critical Vendor Order means each order of the Bankruptcy Court approving the payment of pre-petition debt of one or more essential vendors of the Borrowers, PROVIDED that (a) each such order is in form and substance satisfactory to the Agent and (b) with respect to each such vendor the Parent has established (i) that the payment of such debt is necessary in order to obtain continued financing from such vendor, (ii) such vendor has agreed to provide such continued financing on terms no less favorable and in an amount not less than the terms and amount, respectively, provided to the relevant Borrowers prior to the Filing Date and (iii) the sum of (x) the aggregate amount of pre-petition debt owing from time to time by the Borrowers to all of their essential vendors after the Filing Date PLUS (y) the aggregate amount of post-petition debt owing from time to time by the Borrowers to all of their essential vendors is not less than the aggregate amount of pre-petition debt owed by the Borrowers to all of their essential vendors as of the Filing Date.
