CRP Information definition

CRP Information means the Corporate Resolution Planning Information;
CRP Information means the corporate resolution planning information, together, the: (a) Exposure Information (Contracts List); (b) Corporate Resolvability Assessment (Structural Review); and (c) Financial Information and Commentary “Dependent Parent Undertaking” means any Parent Undertaking which provides any of its Subsidiary Undertakings and/or Associates, whether directly or indirectly, with any financial, trading, managerial or other assistance of whatever nature, without which the Supplier would be unable to continue the day to day conduct and operation of its business in the same manner as carried on at the time of entering into the Call-Off Contract, including for the avoidance of doubt the provision of the Services in accordance with the terms of the Call-Off Contract; “FDE Group” “Financial Distress Event” means the [Supplier, Subcontractors, [the Guarantor] the credit rating of an FDE Group entity dropping below the applicable Financial Metric; an FDE Group entity issuing a profits warning to a stock exchange or making any other public announcement, in each case about a material deterioration in its financial position or prospects; there being a public investigation into improper financial accounting and reporting, suspected fraud or any other impropriety of an FDE Group entity; an FDE Group entity committing a material breach of covenant to its lenders; a Subcontractor notifying CCS or the Buyer that the Supplier has not satisfied any material sums properly due under a specified invoice and not subject to a genuine dispute; any of the following: commencement of any litigation against an FDE Group entity with respect to financial indebtedness greater than £5m or obligations under a service contract with a total contract value greater than £5m; non-payment by an FDE Group entity of any financial indebtedness; any financial indebtedness of an FDE Group entity becoming due as a result of an event of default; the cancellation or suspension of any financial indebtedness in respect of an FDE Group entity; or the external auditor of an FDE Group entity expressing a qualified opinion on, or including an emphasis of matter in, its opinion on the statutory accounts of that FDE entity; in each case which the Buyer reasonably believes (or would be likely to reasonably believe) could directly impact on the continued performance and delivery of the Services in accordance with the Call-Off Contract; and any two of the Financial Metrics for the Supplier not being met at the sam...

  • Where the Supplier is a Public Sector Dependent Supplier and this Agreement is not a Critical Service Contract, then on the occurrence of any of the events specified in Paragraphs 11.8(a) to (d) of this Part 2, the Supplier shall provide at the request of the Relevant Authority and within the applicable timescales for each event as set out in Paragraph 11.8 (or such longer timescales as may be notified to the Supplier by the Authority), the CRP Information to the Relevant Authority.

  • In the case of a call off from a framework, the framework manager (rather than the call off customer) should consider ongoing CRP Information assurance requirements and, where necessary, liaise and work with the Cabinet Office Markets & Suppliers Team; references in Paragraphs 2.5.7 and 2.5.8 above to the Contracting Authority should be read as references to the framework manager.

  • Suppliers which have, or whose parent companies have, strong credit ratings12 will be exempt from the requirement to provide CRP Information while they retain such ratings unless a Financial Distress Event arises.

  • In the absence of a Financial Distress Event it should normally be sufficient to know that the CRP Information is available and has been assured.

  • Commercial Information means information regarding the purchase and sale of goods and services, including, but not limited to, information regarding marketing strategy, production data, assessments of goods and services, mineral exploration records, and compilations of data regarding commercial activity.

  • Company Information As defined in Section 4(a)(i).

  • Business Confidential Information has the meaning set forth in Section 5.04(a).

  • Confidential Information has the meaning set forth in Section 6.1.
