CSC Options definition

CSC Options means exercisable and non-exercisable options to purchase shares of CSC Common Stock granted pursuant to the CSC Equity Plans.
CSC Options has the meaning set forth in Section 4.11(d).

Examples of CSC Options in a sentence

  • CSC shall be responsible for all Liabilities associated with CSC Options (regardless of the holder of such awards), including any option exercise, share delivery, registration or other obligations related to the exercise of the CSC Options.

  • The adjustments provided for in this Section 4.2 with respect to the CSC Options and Computer Sciences GS Options are intended to be effected in a manner compliant with Section 424(a) of the Code.

  • Notwithstanding the foregoing, CSC Options granted in fiscal year 2015 may, at the discretion of CSC or Computer Sciences GS, as applicable, vest in accordance with the current vesting schedule for such CSC Options.

  • Promptly after the date hereof, CSC shall deliver proper notice to each holder of a CSC Option informing such holder of the effect of the Mergers on the CSC Options and to provide each such holder a reasonable opportunity to exercise such holder’s CSC Options (if applicable) prior to the First Effective Time.

  • At or prior to the Effective Time, Parent shall take all corporate action necessary to reserve for issuance a sufficient number of shares of Parent Common Stock for delivery upon exercise of CSC Options assumed by it in accordance with this Section.

  • The adjustments provided for in this Section 4.2 with respect to the CSC Options and CSRA Options are intended to be effected in a manner compliant with Section 424(a) of the Code.

  • CSC has not granted, and there is no and has been no CSC policy or practice to grant, any CSC Option prior to, or otherwise coordinated the grant of CSC Options with, the release or other public announcement of material information regarding CSC or its financial results or prospects.

  • Subject to Parent’s right to offset pursuant to Section 8.06 and the provisions of Section 3.06(e), Parent shall direct the Escrow Agent within two (2) Business Days following the relevant Milestone Announcement Date or, if later, the date on which the Requisite Milestone Approval has been obtained, to cause each Milestone Payment, if any, to be paid to the CSC Representative for distribution to the CSC Stockholders and the holders of CSC Options in accordance with the Consideration Spreadsheet.

  • Notwithstanding the foregoing, CSC Options granted in fiscal year 2015 may, at the discretion of CSC or CSRA, as applicable, vest in accordance with the current vesting schedule for such CSC Options.

  • As soon as practicable after the Effective Time, Parent shall file a registration statement on Form S-3 or Form S-8, as the case may be (or any successor or other appropriate forms), or another appropriate form with respect to the Parent Common Stock subject to such CSC Options, and shall use its best efforts to maintain the effectiveness of such registration statements (and maintain the current status of the prospectus or prospectuses contained therein) for so long as such CSC Options remain outstanding.

Related to CSC Options

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Company Stock Options shall have the meaning given to such term in Section 3.3(a) hereof.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • SARS means the South African Revenue Service.

  • Equity Awards will mean Executive’s outstanding stock options, stock appreciation rights, restricted stock units, performance shares, performance stock units and any other Company equity compensation awards.

  • Company Options means any options to purchase shares of Company Common Stock, whether granted pursuant to any of the Company Stock Plans or otherwise.

  • Stock Index Option means an exchange traded option entitling the holder, upon timely exercise, to receive an amount of cash determined by reference to the difference between the exercise price and the value of the index on the date of exercise.

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • Promised Options means promised but ungranted Options that are the greater of those (i) promised pursuant to agreements or understandings made prior to the execution of, or in connection with, the term sheet or letter of intent for the Equity Financing or Liquidity Event, as applicable (or the initial closing of the Equity Financing or consummation of the Liquidity Event, if there is no term sheet or letter of intent), (ii) in the case of an Equity Financing, treated as outstanding Options in the calculation of the Standard Preferred Share’s price per share, or (iii) in the case of a Liquidity Event, treated as outstanding Options in the calculation of the distribution of the Proceeds.

  • Share Appreciation Right means the right pursuant to an Award granted under Section 8 below to receive an amount equal to the excess, if any, of (i) the aggregate Fair Market Value, as of the date such Award or portion thereof is surrendered, of the Shares covered by such Award or such portion thereof, over (ii) the aggregate Exercise Price of such Award or such portion thereof.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Parent Equity Awards means Parent Options, Parent DSU Awards and Parent PSU Awards.

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Optioned Stock means the Common Stock subject to an Option.

  • Stock Appreciation Right or “SAR” means a right to receive the appreciation on Common Stock that is granted pursuant to the terms and conditions of Section 5.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Stock Appreciation Rights or “SAR” means a right granted to a Participant under Section 6(c).

  • Director Option means an Option granted pursuant to Section 6.

  • Tandem Appreciation Right means an Appreciation Right granted pursuant to Section 5 of this Plan that is granted in tandem with an Option Right.

  • Stock Rights means all dividends, instruments or other distributions and any other right or property which the Grantors shall receive or shall become entitled to receive for any reason whatsoever with respect to, in substitution for or in exchange for any Equity Interest constituting Collateral, any right to receive an Equity Interest and any right to receive earnings, in which the Grantors now have or hereafter acquire any right, issued by an issuer of such Equity Interest.

  • Company RSUs means any restricted stock units granted under any of the Company Equity Plans.
