CSCo Shares definition

CSCo Shares means shares of Class B Common Stock issued in the Distribution in respect of shares of Cablevision Class B Common Stock that were owned at any time by CSCo, CFD Joint Venture or MAC TRUST GROUP or issued by Cablevision in respect of any such shares as a result of any stock split, stock dividend or other recapitalization, and any shares of Class B Common Stock issued by the Company in respect of such shares issued in the Distribution as a result of any stock split, stock dividend or other recapitalization.

CSCo Shares means (a) shares of Class B Common Stock issued in the Distribution in respect of shares of MSGE Class B Common Stock that were previously issued in respect of The Madison Square Garden Company Class B Common Stock, par value $.01 per share, that were previously issued in respect of Cablevision NY Group Class B Common Stock, par value $.01 per share, that were (i) owned at any time by Cablevision Systems Company, CFD Joint Venture or MAC TRUST GROUP or (ii) issued by Cablevision Systems Corporation in respect of any such shares as a result of any stock split, stock dividend or other recapitalization, and (b) any shares of Class B Common Stock issued by the Company in respect of such shares issued in the Distribution as a result of any stock split, stock dividend or other recapitalization.

Related to CSCo Shares

  • Amalco Shares means common shares in the capital of Amalco;

  • Subco Shares means the common shares in the capital of Subco;

  • Newco Shares means the common shares in the capital of Newco;

  • Pubco Shares means fully paid and non-assessable common shares of Pubco to be issued to the Selling Shareholders by Pubco upon Closing on the basis of 1 Pubco Share for 5.4935 Priveco Shares;

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Company Shares has the meaning set forth in the Recitals.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • New Shares means ordinary or common shares, whether of the entity or person (other than the Share Issuer) involved in the Merger Event or a third party, that are, or that as of the Merger Date are promptly scheduled to be, (i) publicly quoted, traded or listed on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member of state of the European Union) or on another exchange acceptable to the Issuer and (ii) not subject to any currency exchange controls, trading restrictions or other trading limitations.

  • Sold Shares shall have the meaning specified in Section 6.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.

  • SpinCo Shares means the shares of common stock, par value $0.01 per share, of SpinCo.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Subscribed Shares means, as of any date of determination, the Subscribed Shares (as defined in the recitals to this Subscription Agreement) and any other equity security issued or issuable with respect to the Subscribed Shares by way of stock split, dividend, distribution, recapitalization, merger, exchange, or replacement, and (ii) “Subscriber” shall include any person to which the rights under this Section 5 shall have been duly assigned.

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • Initial Shares means a number of Registrable Securities equal to the lesser of (i) the total number of Registrable Securities and (ii) one-third of the number of issued and outstanding shares of Common Stock that are held by non-affiliates of the Company on the day immediately prior to the filing date of the Initial Registration Statement.

  • Acquired Shares has the meaning set forth in the Recitals.

  • sweat equity shares means equity shares issued by a company to its employees or directors at a discount or for consideration other than cash for providing know-how or making available rights in the nature of intellectual property rights or value additions, by whatever name called;
