Currency Disruption Event definition

Currency Disruption Event means, in respect of SIP or CLI:
Currency Disruption Event means any of the following events, as determined in good faith by the Calculation Agent:
Currency Disruption Event means, with respect to a Series, the occurrence or official declaration of an event impacting one or more currencies that the Issuer determines would materially disrupt or impair its ability to meet its obligations in the Currency or otherwise settle, clear, or hedge such Series.

  • Prospective investors in Securities should be aware that the Determination Agent may determine that a Currency Disruption Event has occurred or exists on a relevant date of valuation, and any consequential determination of the Settlement Rate by the Determination Agent in accordance with the Currency Disruption Fallbacks may have an adverse effect on the return on and value of the Securities.

  • Upon the occurrence of a Currency Disruption Event and for so long as that Currency Disruption Event is subsisting, any amount payable in the Payment Currency by Bank in relation to any transaction entered into pursuant to these Website Terms (including on any repayment date or settlement date however described) shall be payable into any other account designated for this purpose.

  • If a Currency Disruption Event occurs on any day that is a Disrupted Day, the terms of the Warrants will be adjusted pursuant to the foregoing only after the necessary postponements or adjustments have been made pursuant to the definition of Valuation Date.

  • If the Local Currency is designated as the Settlement Currency and any payment to be made in the Local Currency is further prevented by the existence of a Currency Disruption Event, the Calculation Agent will determine the applicable Exchange Rate in accordance with (i) above.

More Definitions of Currency Disruption Event

Currency Disruption Event means the occurrence of any of the following with respect to any Eligible Currency: (a) any Lender shall have notified the Administrative Agent, the Collateral Agent, the Servicer and the Borrower of a determination by such Lender that it would be contrary to law or to the directive of any central bank or other Governmental Authority (whether or not having the force of law) to obtain such Eligible Currency in the applicable market to fund any Advance, (b) any Lender shall have notified the Administrative Agent, the Collateral Agent, the Servicer and the Borrower of a determination by such Lender that the rate at which such Eligible Currency is being offered to such Lender in the applicable market (i) does not accurately reflect the cost to such Lender of making, funding or maintaining any Advance or (ii) has been permanently discontinued or for which adequate and reasonable means do not exist for ascertaining such rate or (c) any Lender shall have notified the Administrative Agent, the Collateral Agent, the Servicer and the Borrower of the inability of such Lender, as applicable, to obtain such Eligible Currency or such other rate in the applicable market to make, fund or maintain any Advance.
Currency Disruption Event means the occurrence of any of the following with respect to any Eligible Currency: (a) any Lender shall have notified the Administrative Agent, the Collateral Agent, the Servicer and the Borrower of a determination by such Lender that it would be contrary to law or to the directive of any central bank or other Governmental Authority (whether or not having the force of law) to obtain such Eligible Currency in the applicable market to fund any Advance, (b) any Lender shall have notified the Administrative Agent, the Collateral Agent, the Servicer and the Borrower of a determination by such Lender that the rate at which such Eligible Currency is being offered to such Lender in the applicable market does not accurately reflect the cost to such Lender of making, funding or maintaining any Advance or (c) any Lender shall have notified the Administrative Agent, the Collateral Agent, the Servicer and the Borrower of the inability of such Lender, as applicable, to obtain such Eligible Currency or such other rate in the applicable market to make, fund or maintain any Advance.
Currency Disruption Event. The occurrence of any of the following: (a) any Lender shall have notified the Administrative Agent of a determination by such Lender that it would be contrary to law or to the directive of any central bank or other Governmental Authority (whether or not having the force of law) to obtain any applicable Currency in the applicable interbank market, to fund any Advance, (b) any Lender shall have notified the Administrative Agent of the inability of such Lender, as applicable, to obtain any applicable Currency in the applicable interbank market to make, fund or maintain any Advance or (c) adequate and reasonable means do not exist for ascertaining the Benchmark for any requested Interest Period, including because the Benchmark is not available or published on a current basis.
Currency Disruption Event means, with respect to a Series, the occurrence or official declaration of an event impacting one or more currencies that the Issuer determines would materially disrupt or impair its ability to meet its obligations in the Currency or otherwise settle, clear, or hedge such Series, and where a Relevant Clearing System withdraws (or announces its intention to withdraw) acceptance of the Currency for settlement and payments under the Securities.

Currency Disruption Event. The occurrence of any of the following: (a) any Liquidity Bank or any Institutional Lender shall have notified the Administrative Agent of a determination by such Liquidity Bank or any of its assignees or participants or such Institutional Lender that it would be contrary to law or to the directive of any central bank or other Governmental Authority (whether or not having the force of law) to obtain such Eligible Currency in the applicable market to fund any Advance, (b) any Liquidity Bank or any Institutional Lender shall have notified the Administrative Agent of a determination by such Liquidity Bank or any of its assignees or participants or such Institutional Lender, as applicable, that the rate at which such Eligible Currency is being offered to such Lender in the applicable market does not accurately reflect the cost to such Lender of making, funding or maintaining any Advance or (c) any Liquidity Bank or any Institutional Lender shall have notified the Administrative Agent of the inability of such Liquidity Bank or any of its assignees or participants or such Institutional Lender, as applicable, to obtain such Eligible Currency in the applicable market to make, fund or maintain any Advance.
