Current SEC Reports means the most recent report on Form 10-K, or any successor form, and any amendments thereto filed by the Parent Borrower with the Securities and Exchange Commission (the “Commission”) and any reports on Forms 10-Q and/or 8-K, or any successor forms, and any amendments thereto, filed by the Parent Borrower with the Commission after the date of such report on Form 10-K.

Current SEC Reports means (a) the Annual Report of the Borrower to the SEC on Form 10K for the fiscal year ended December 31, 2013 and (b) any current reports of the Borrower to the SEC on Form 8K filed prior to the Effective Date.

Current SEC Reports means the 1996 Form 10-K, the 1997 Form 10-Q and the 1997 Proxy Statement.

As of the Effective Date, there is no fact known to the Borrower which has had or would reasonably be expected to have a Material Adverse Effect which has not been disclosed herein or in the Current SEC Reports.
Neither this Agreement, the schedules and exhibits hereto, the Current SEC Reports nor any other written document delivered to Purchaser in connection with the transactions contemplated hereby contain any untrue statement of a material fact or omit any material fact necessary to make the statements herein or therein, as the case may be, in light of the circumstances under which it was made, not misleading, and all material information regarding the Company and its Subsidiaries is provided therein.
Except as set forth in the Current SEC Reports, as of the Closing Date, there shall be no actions, suits or proceedings pending or, to the best knowledge of the Parent Borrower, threatened (i) with respect to this Agreement or any other Loan Document or (ii) which the Administrative Agent or the Required Lenders shall reasonably determine would have a Material Adverse Effect.
The copy of the Rights Agreement included in the Current SEC Reports is complete and correct and includes all amendments and supplements to and including the date of this Agreement.
Each Subsidiary of each of the Loan Parties as of the Closing Date is listed in the Current SEC Reports.
