Customer Audit definition

Customer Audit means a review of the security of the Services conducted by Customer at its expense.
Customer Audit has the meaning set out in Clause 8.1;

Examples of Customer Audit in a sentence

  • In the event that Customer, a regulator, or data protection authority requires an inspection or audit relating to the Professional Services that Customer cannot obtain through its own access to the SFTP Server or Professional Services Data, such inspection and/or audit shall be made available in accordance with Workday’s Customer Audit Program.

  • Upon termination or expiry of this Agreement, GBG shall (at the Customer’s election) destroy or return all personal data contained within the Customer Audit Trail.

  • Simplesat shall promptly inform Customer if, in its opinion, a Customer Audit infringes the Data Protection Laws or any other confidentiality obligations with Simplesat’s other customers.

  • ENSUR PaaS Software Only Changes to the hosting environment are typical and may be initiated by Customer or DocXellent to optimize performance, user experience, or for other business purposes; however, all changes to the software, virtual server(s) or environment of the Customer’s PaaS Software shall follow a strictly controlled and fully documented change management process defined in Environment Change Management SOP SOP--CHANGE-MGMT in the Customer Audit Portal.

  • If Customer chooses to conduct any audit, including any inspection of AvePoint, under Applicable Data Protection Law or the Standard Contractual Clauses (collectively “Customer Audit”), Customer has the right to request or mandate such Customer Audit on its own behalf, and on behalf of its Controllers when Customer is acting as a Processor to a third party, by instructing AvePoint to carry out the audit described in sec.

  • Data Exporter acknowledges and agrees that it exercises its audit right(s) under Clause 8.9 or Clause 5(f), as applicable, by instructing Data Importer to comply with the audit measures described in Section 8 (Customer Audit Rights) of the DPA.

  • To the extent any Customer Audit incurs, in the aggregate, in excess of 10 hours of Simplesat’s or Simplesat Affiliates’ personnel time, Simplesat may charge Customer on a time and materials basis for any such excess hours.

  • If Customer requires additional information, including information necessary to demonstrate compliance with this DPE, or an audit related to the Covered Service, such information and/or audit shall be made available in accordance with Workday’s Customer Audit Program.

Related to Customer Audit

  • Customer User means an employee of Customer, a Customer Affiliate or Business Partner.

  • END USER CUSTOMER LOCATION means the physical location of the premises where an End User makes use of the telecommunications services.

  • Customer Site means the site owned or leased by the Customer or any other site used to provide the Service, which is directly connected to a PoP managed by Liquid Telecom, as set out in the COF;

  • Supplier Operations means all assets, processes and systems (including information systems), data (including Customer data), personnel, and sites, used or processed by Supplier from time to time in the performance of this Agreement.

  • Customer Portal means a web portal maintained by Liferay or a Liferay Affiliate that provides for various resources accessible to Liferay Subscription customers as further described in Section 2.1 below.

  • Customer Application means an application or any set of applications that adds primary and significant functionality to the Embedded Capabilities and that is not primarily a substitute for any portion of Microsoft Power BI services.

  • Customer List means a list in electronic form (or such other form determined by ActewAGL) which sets out the following items for a Volume Customer Delivery Point:

  • New Service Customers means all customers that submit an Interconnection Request, a Completed Application, or an Upgrade Request that is pending in the New Services Queue. New Service Request:

  • End User Customer means a third party retail Customer that subscribes to a Telecommunications Service provided by either of the Parties or by another Carrier or by two (2) or more Carriers.

  • Customer System means the Customer's computing environment (consisting of hardware, software and/or telecommunications networks or equipment) used by the Customer or the Supplier in connection with this Contract which is owned by or licensed to the Customer by a third party and which interfaces with the Supplier System or which is necessary for the Customer to receive the Services;

  • Customer Specific Training means a private Course organized on demand specifically for Customer.

  • Customer Support means the services by which 21Vianet may provide assistance to Customer to resolve issues with the Services.

  • Customer Lists We hereby agree that we shall not use any list of your customers which may be obtained in connection with this Agreement for the purpose of solicitation of any product or service without your express written consent. However, nothing in this paragraph or otherwise shall be deemed to prohibit or restrict us or our affiliates in any way from solicitations of any product or service directed at, without limitation, the general public, any segment thereof, or any specific individual, provided such solicitation is not based upon such list. 9.

  • Customer Representative means the representative appointed by the Customer from time to time in relation to this Call Off Contract;

  • Supplier/Contractor means the individual, firm or company with whom the contract has been concluded for supplying the Goods and Services under the Contract. The Supplier/Contractor shall be deemed to include its successors (approved by the purchaser), representatives, heirs, executors, administrators and permitted;

  • Supplier System means the information and communications technology system used by the Supplier in performing the Services including the Software, the Equipment and related cabling (but excluding the Customer System);

  • Supplier Personnel means Supplier’s employees, consultants, agents, independent contractors and Subcontractors.

  • Customer Systems means the Customer's information technology infrastructure, including computers, software, hardware, databases, electronic systems (including database management systems), and networks, whether operated by Customer or through the use of third-party services.

  • Customer Software means software which is owned by or licensed to the Customer;

  • Fiserv means Fiserv, Inc., a Wisconsin corporation.

  • service supplier means any person that supplies a service;

  • data user means a natural or legal person who has lawful access to certain personal or non-personal data and is authorised to use that data for commercial or non-commercial purposes;

  • Customer Due Diligence means a process which involves establishing the identity of a client, the identity of the client’s beneficial owners in respect of legal persons and monitoring all transactions of the client against the client’s profile;

  • Technical Support Services means the technical support and maintenance Services provided by us according to our then-current technical support policy and procedure listed at xxxxxxxxxxxxx.xxx (“Technical Support Policy”) when the Services are purchased.

  • Customer Service means Company’s customer service telephone service department or representatives.
