CVC Investors definition

CVC Investors any funds or limited partnerships managed or advised by CVC Capital Partners Limited or any of its Affiliates or direct or indirect Subsidiaries or any investors in such funds or limited partnerships (but excluding, in each case, any portfolio companies in which such funds or limited partnerships hold an investment and excluding, in each case, any funds or entities managed or advised by CVC Credit Partners Holdings Limited or any of its direct or indirect Subsidiaries engaged in the same or a similar business to CVC Credit Partners Holdings Limited) who are investors in such funds or limited partnerships as at the Closing Date, investing directly or indirectly in the Company.

CVC Investors means the entities listed on the signature pages hereto under the heading “CVC Investors,” any Transferee that becomes party to this Agreement as a “CVC Investor” in accordance with Section 5.5 hereof, and their respective Affiliates.

CVC Investors means CVC and its Related Persons and their Permitted Transferees.

Examples of CVC Investors in a sentence

• Section 2.1, Section 2.2 or this Section 5.3 shall also require the approval of the CVC Designator, the Blackstone Designator and the FTAC Designators and (ii) that would adversely affect the rights of any of the CVC Investors, the Blackstone Investors or the FTAC Investors hereunder shall also require the approval of the CVC Investors, the Blackstone Investors or the FTAC Investors, as applicable.

• Notwithstanding anything herein to the contrary, the CVC Investors shall have no obligation to any other Stockholder as a result of any decision by the CVC Investors to accept or consummate, or not to accept or consummate, any Drag-Along Sale (it being understood that any and all such decisions shall be made by the CVC Investors in their sole discretion).

• CVC hereby represents that the shares of Common Stock and Preferred Stock are being issued to the CVC Investors in compliance with the 3.5% limitation set forth in Section 2.1(a)(i)(A), and agrees that such shares will be included for purposes of any subsequent calculation of 2.1(a)(i)(A).

• The Partnership shall be treated as a partnership for U.S. federal and, if applicable, state or local income tax purposes, and each Partner and the Partnership shall file all tax returns and shall otherwise take all tax and financial reporting positions in a manner consistent with such treatment, and the Partnership shall not change such classification without the prior written consent of the Centerview Investors, the LGP Investors, the CVC Investors, and the Majority Xxxxxx Xxxxxx.

• If, in this same example, the percentage determined with respect to the CVC Investors as of such time is also 50%, then, in this example, 50% of the Common Series C-2 Units shall continue to remain outstanding and 50% of such Common Series C-2 Units shall be deemed forfeited as of such two (2) year anniversary date by reason of Section 3.1(e)(i) and (ii).

More Definitions of CVC Investors

CVC Investors means (i) CVC; (ii) any officer, director, member or general partner of CVC or general partner of any Person included in the definition of CVC; (iii) any spouse or lineal descendant (including by adoption and stepchildren) of the officer, director, member or general partner referred to in clause (ii) above; and (iv) any trust, corporation, partnership, estate or other entity the sole beneficiary or beneficiaries of which is or are the persons included in clause (ii) or (iii) above.

CVC Investors means Pi Holdings Jersey Limited and Pi Syndication LP. “CVC Party” means Pi Holdings Jersey Limited.

CVC Investors means (i) CVC, (ii) each of the other Additional Members named under the heading "CVC Investors" in Part 1 and Part 2 of Schedule II hereto and (iii) each transferee of any of the foregoing that is a Permitted Transferee as provided in Section 6.3.

CVC Investors shall have the meaning set forth in the Recitals hereof.

CVC Investors means CVC ASM Holdco, LP and Karman Coinvest L.P. (solely with respect to the Units held by Karman Coinvest L.P. which are attributable to the holders of Class B units of such entity).
