Date of First Commercial Delivery definition

Date of First Commercial Delivery has the meaning set forth in the LNG Sale and Purchase Agreement, dated November 21, 2011, between Sabine Pass Liquefaction and Gas Natural Aprovisionamientos SDG S.A.
Date of First Commercial Delivery as defined in Section 4.2; Day: a period of twenty-four (24) consecutive hours starting at 00:00 hours local time in Calcasieu Parish, Louisiana;
Date of First Commercial Delivery has the meaning given in the applicable LNG SPA, and includes the dates described as the “Corpus Christi T3 Completion Date” in the Trafigura LNG SPA and the “Designated Train SC Date” under the PetroChina FOB LNG SPA and the DES-Linked LNG SPA.

  • This Agreement shall enter into force and effect as set forth in Section 2.2.1 and, subject to Section 20, shall continue in force and effect until the twentieth (20th) anniversary of the Date of First Commercial Delivery, unless extended pursuant to Section 4.1.2 (the “Term”).

  • A Party shall designate its bank by notice to the other Party initially not later than one hundred twenty (120) Days prior to the Date of First Commercial Delivery and thereafter not less than thirty (30) Days before any redesignation is to be effective.

  • The failure of the Train 1 DFCD under and as defined in the BG FOB Sale and Purchase Agreement to occur on or before the BG DFCD Deadline or the failure of the Date of First Commercial Delivery under and as defined in the GN FOB Sale and Purchase Agreement to occur on or before the GN DFCD Deadline.

  • The obligations to sell and deliver, and to purchase and pay for, LNG under the contract become effective on the Date of First Commercial Delivery of the Delfin Project conditioned upon the start-up of the third LNG vessel at the Delfin Deepwater Port, provided that all conditions precedent are satisfied or waived.

  • The Day notified by Seller to Buyer on which Seller anticipates that the Designated Train will become commercially operable shall be the "Date of First Commercial Delivery", which Day shall be determined by taking into account development and construction schedules, as set forth below.


More Definitions of Date of First Commercial Delivery

Date of First Commercial Delivery with respect to the Train 1 Facility under, and as defined in, each of the Initial Offtake Agreements referred to in clauses (b), (c), (d), (f), and (h) of the definition thereof shall have occurred; and
Date of First Commercial Delivery has the meaning given in the applicable LNG SPA.

Related to Date of First Commercial Delivery

  • Initial Delivery Date has the meaning set forth in Section 1.1(d).

  • Final Delivery Date means the date the Supplier is entitled to deliver the Products form the Purchaser even if the Products have not been called off as agreed in any Sales Agreement.

  • First Commercial Sale means the first sale for use or consumption of any Licensed Product in a country after all required Regulatory Approvals for commercial sale of such Licensed Product have been obtained in such country.

  • Date of Commercial Operation means the date on which the (nuclear or non-nuclear) power plant has successfully passed all performance and operational tests required by the end customer for commercial operation. In all other cases the warranty shall apply for twenty-four (24) months from delivery of the goods or performance of the services, or such longer period of time as customarily provided by Supplier, plus delays such as those due to non-conforming goods and services. The warranties shall apply to Buyer, its successors, assigns and the users of goods and services covered by this Order.

  • Central Time means Central Time as adjusted for daylight savings time.

  • Notice Address means with respect to the following entities:

  • CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).

  • RFR Banking Day means any day specified as such in the Reference Rate Terms.

  • Final delivery certificate means the document issued by the COE confirming that all the known defects have been rectified and that the works, goods or services appear in good order and have been accepted;

  • Locational Deliverability Area or “LDA” shall mean a geographic area within the PJM Region that has limited transmission capability to import capacity to satisfy such area’s reliability requirement, as determined by the Office of the Interconnection in connection with preparation of the Regional Transmission Expansion Plan, and as specified in Reliability Assurance Agreement, Schedule 10.1.

  • OJEU Notice means the contract notice published in the Official Journal of the European Union.

  • Commercial Operation Date means the date on which a Material Project is substantially complete and commercially operable.

  • Real-time means the actual time during which a process or event occurs.

  • Merchant Shipping Notice means a Notice described as such, issued by the Maritime and Coastguard Agency, and any reference to a particular Merchant Shipping Notice includes a reference to any such document amending or replacing that Notice which is considered by the Secretary of State to be relevant from time to time;

  • Certificate of Final Completion means the certificate issued by A/E that documents, to the best of A/E’s knowledge and understanding, Contractor’s completion of all Contractor’s Punchlist items and pre-final Punchlist items, final cleanup and Contractor’s provision of Record Documents, operations and maintenance manuals, and all other closeout documents required by the Contract Documents.

  • Date of receipt means the completed delivery of the goods or services or the satisfactory installation, assembly or specified portion thereof, or the receipt of the invoice for the delivery of the goods or services, whichever is later.

  • Commercial Operations Date or "COD": The date on which Facility first achieves Commercial Operations.

  • Plain Old Telephone Service (POTS) means telephone service for the transmission of human speech.

  • Corporate Secretary means the corporate secretary of the Corporation;

  • Date of filing means the date an applicant submits a noti- fication of intent or the date an applicant files an application, whichever is earlier.

  • Notice of Special Rate Period means any notice with respect to a Special Rate Period of shares of MuniPreferred pursuant to subparagraph (d)(i) of Section 4 of Part I of this Statement.

  • Mailing Date has the meaning set forth in Section 2.1(a).

  • National Medical Support Notice or “NMSN” shall mean a notice that contains the following information:

  • international voyage means a voyage from a country to which the present Convention applies to a port outside such country, or conversely.

  • Calling Name Delivery Service (CNDS) means a service that enables a terminating End User to identify the calling Party by a displayed name before a call is answered. The calling Party’s name is retrieved from a calling name database and delivered to the End User’s premise between the first and second ring for display on compatible End User premises equipment.

  • Real-time Energy Market means the purchase or sale of energy and payment of Transmission Congestion Charges for quantity deviations from the Day-ahead Energy Market in the Operating Day.
