Deemed Approval Process definition

Deemed Approval Process is defined in Section 35.
Deemed Approval Process means, with respect to a request by Tenant to Landlord for approval of or consent to a particular item under this Lease that requires Xxxxxxxx’s approval or consent hereunder, that (a) Landlord shall not unreasonably withhold, condition or delay such approval or consent; (b) Landlord shall grant or deny such request within 12 Business Days following Tenant’s request; (c) any denial shall specify the reasons for such denial (which must be consistent with the terms of this Lease) and, if applicable, any proposed modifications that will render Tenant’s request acceptable; and (d) Landlord’s failure to respond within such 12 Business Day period (or other expressly stated period) shall toll any of Tenant’s deadlines for performance under this Lease for which the applicable consent or approval is required from the expiration of the 12 Business Day period until such time that a response from Landlord is received. Moreover, Xxxxxxxx’s failure to respond within an additional eight Business Days after receipt of a second notice of the delay from Tenant shall be deemed approval (and consent to Xxxxxx’s request shall be deemed given), provided that such second notice provides explicit notice of such deemed approval and states “FINAL NOTICE” in bold, all caps text. Notwithstanding the foregoing, in either of the following two circumstances, Xxxxxxxx’s failure to respond prior to the aforementioned deadlines shall not constitute a deemed approval, but shall toll any of Tenant’s deadlines for performance under this Lease as herein provided until Xxxxxxxx’s response has been received: (1) in the event that Landlord (x) determines, in its reasonable discretion, that it will require additional time to review Tenant’s submittal, and (y) provides Tenant with written notice, prior to Landlord’s second and final response deadline, of such determination and the amount of additional time that Landlord will reasonably require; or (2) in the event that Landlord determines, in its reasonable discretion, that the approval of the City Commission is legally required for the approval or consent at issue.

Examples of Deemed Approval Process in a sentence

  • If Lessor fails to respond to the above request for approval within thirty (30) days of receipt of the Bridge DD Documents, then Lessee may send Lessor a second notice requesting Lessor’s approval of the Bridge DD Documents, which notice shall be in accordance with the Deemed Approval Process set forth in Section 34 hereof.

  • If Lessor fails to respond to the above request for approval within thirty (30) days of receipt of the Bridge Construction Drawings, then Lessee may send Lessor a second notice requesting Lessor’s approval of the Bridge Construction Drawings, which notice shall be in accordance with the Deemed Approval Process set forth in Section 34 hereof.

  • If Lessor fails to respond to the above request for approval within thirty (30) days of receipt of the Bridge Schematic Drawings, then Lessee may send Lessor a second notice requesting Lessor’s approval of the Bridge Schematic Drawings, which notice shall be in accordance with the Deemed Approval Process set forth in Section 34 hereof.

  • If any Party fails to respond to such request within such thirty (30) day period, then the requesting Party may deliver a second notice to the other Party using the Deemed Approval Process stating that the failure of the other Party to respond to such request within five (5) business days after receipt of such second request will result in a deemed approval with respect to the requested matters.

  • If Lessor fails to respond to the above notice by Lessee within ten (10) business days of receipt of same, then Lessee may send Lessor a second notice requesting Lessor’s response, which notice shall be in accordance with the Deemed Approval Process set forth in Section 34 hereof.

Related to Deemed Approval Process

  • Required Approval has the meaning specified in Section 2.2(b).

  • Approved/Approval means the approval in writing.

  • Bidding Process means the procurement procedure under which sealed bids are invited, received, opened, examined and evaluated for the purpose of awarding a contract;

  • Required Approvals shall have the meaning ascribed to such term in Section 3.1(e).

  • RFP Process or “Bidding Process” means the process governing the submission and evaluation of the Bids as set out in the RFP itself;

  • Final Approval Order means the proposed Order Granting Final Approval to the Settlement, to be entered by the Court with terms to be agreed upon by the Parties and consistent with this Agreement.

  • Initial approval means authorization to admit students and enter into contractual agreements for clinical facilities. It is granted only after an application has been submitted, reviewed and a survey visit made by the Board. No students shall be admitted to the program until the institution has received written notification that initial approval has been granted. Failure to comply will delay initial approval.

  • Approval Notice means, with respect to any Eligible Loan Asset, the written notice, in substantially the form attached hereto as Exhibit A, evidencing the approval by the Administrative Agent, in its sole discretion, of the conveyance of such Eligible Loan Asset by the Transferor to the Borrower pursuant to the terms of the Purchase and Sale Agreement and the Loan Assignment by which the Transferor effects such conveyance.

  • Approval Application means a BLA, NDA or similar application or submission for a Product filed with a Regulatory Authority in a country or group of countries to obtain marketing approval for a biological or pharmaceutical product in that country or group of countries.

  • Final Approval Hearing means the hearing before the Court where the Parties will request the Final Judgment to be entered by the Court approving the Settlement Agreement, the Fee Award, and the incentive award to the Class Representative.

  • MAA Approval means approval of an MAA by the applicable Regulatory Authority for marketing and sale of a Product in the Collaborator Territory, but excluding any Pricing and Reimbursement Approval.

  • IRB approval means the determination of the IRB that the research has been reviewed and may be conducted at an institution within the constraints set forth by the IRB and by other institutional and federal requirements.

  • Full Notice to Proceed means that all material third party contractors have been given the notice to proceed with construction by the Capacity Market Seller or its agent, with a guaranteed completion date backed by liquidated damages.

  • Final Approval Order and Judgment means an order and judgment that the Court enters after the Final Approval Hearing, which finally approves the Settlement Agreement, certifies the Settlement Class, dismisses the Action with prejudice, and otherwise satisfies the settlement-related provisions of Federal Rule of Civil Procedure 23, and is consistent with all material provisions of this Agreement, substantially in the form annexed hereto as Exhibit 5.

  • Required Appraisal means, with respect to each Required Appraisal Loan, an appraisal of the related Mortgaged Property from an Independent Appraiser selected by the party required or authorized to obtain such appraisal hereunder, which appraisal shall be prepared in accordance with 12 CFR ss. 225.62 and conducted in accordance with the standards of the Appraisal Institute or, in the case of a Required Appraisal Loan having a Stated Principal Balance of, or in the case of a Mortgaged Property that has an allocated loan amount of, less than $2,000,000, if no satisfactory (as determined by the Special Servicer pursuant to Section 3.09(a)) appraisal meeting the foregoing criteria was obtained or conducted within the prior 12 months, a "desktop" value estimate performed by the Special Servicer.

  • Final Approval means the Court’s order granting final approval of the Settlement.

  • Approval Letter means the letter from WRAS to the Applicant confirming the grant of WRAS Approval in respect of a Product;

  • Collaborative law process means a procedure intended to resolve a collaborative matter without intervention by a tribunal in which persons sign a collaborative law participation agreement and are represented by collaborative lawyers.

  • Sale Process means all matters relating to the sale of the Business and the review of strategic alternatives with respect to the Business, and all activities in connection therewith, including matters relating to (a) the solicitation of proposals from and negotiations with third parties in connection with the sale of the Business or Excluded Assets or (b) the drafting, negotiation or interpretation of any of the provisions of this Agreement or the other Transaction Documents, or the determination of the allocation of any assets or Liabilities pursuant to the foregoing agreements or the transactions contemplated thereby.

  • Sale Order means an order or orders of the Bankruptcy Court in form and substance reasonably acceptable to Buyer and Sellers approving this Agreement and all of the terms and conditions hereof, and approving and authorizing Sellers to consummate the transactions contemplated hereby.

  • Regulatory Approval Application means any application submitted to an appropriate Regulatory Authority seeking any Regulatory Approval.

  • Final Approval Date means the date upon which Final Approval occurs.
