Deemed Issue Date definition

Deemed Issue Date means, collectively, the Deemed Series Seed Issue Date, the Deemed Series A Issue Date, the Deemed Series A+ Issue Date, the Deemed Series B Issue Date, the Deemed Series B+ Issue Date, the Deemed Series C Issue Date, the Deemed Series D Issue Date, the Deemed Series E Issue Date, and the Deemed Series F Issue Date.
Deemed Issue Date means, with respect to the Series Angel Preferred Shares, the Series Angel Issue Date; with respect to the Series A Preferred Shares, the Series A Issue Date; with respect to the Series B Preferred Shares, the Series B Issue Date; with respect to the Series C Preferred Shares, the Series C Issue Date; with respect to the Series D Preferred Shares, the Series D Issue Date; and with respect to the Series E Preferred Shares, the Series E Issue Date.
Deemed Issue Date means March 25, 2013.

  • Dividends on the Series B Preferred Stock shall be calculated on the basis of a 365-day year, shall accrue daily commencing on the Deemed Issue Date for the applicable shares of Series B Preferred Stock, and shall be deemed to accrue from such date whether or not earned or declared and whether or not there are profits, surplus or other funds of the Corporation legally available for the payment of dividends.

Deemed Issue Date means (i) February 6, 2002, with respect to the 30,000 shares of Series B-I Preferred Stock originally issued on March 19, 2002 in exchange for shares of the Series B-1 Convertible Preferred Stock of the Corporation, (ii) March 19, 2002, with respect to the 10,000 shares of Series B-I originally issued on such date, and (iii) February 28, 2002, with respect to the Series B-II Preferred Stock, in each case regardless of the number of transfers of any particular shares of such Series B Preferred Stock and regardless of the number of certificates that may be issued to evidence such Series B Preferred Stock.
Deemed Issue Date means, for any particular shares of the Class A, the date on or as of which such shares are first issued (or deemed to be issued) by the Corporation; provided that (i) Dividends paid by the issuance of PIK Shares shall have a "Deemed Issue Date" of the relevant Dividend Payment Date, and (ii) the "Deemed Issue Date" of any shares of the Class A issued pursuant to a separate agreement of the Corporation shall be such date, if any, as may be specified in such separate agreement.

  • Deemed Issuance means an issuance of Common Stock that shall be deemed to have occurred on the latest possible permitted date pursuant to the terms hereof or any applicable Warrant in the event Borrower fails to deliver Conversion Shares as and when required pursuant to Sections 3 or 8 of the Note or Warrant Shares (as defined in the Purchase Agreement) as and when required pursuant to the Warrant. For the avoidance of doubt, if Borrower has elected or is deemed under Section 8.3 to have elected to pay an Installment Amount in Installment Conversion Shares and fails to deliver such Installment Conversion Shares, such failure shall be considered a Deemed Issuance hereunder even if an Equity Conditions Failure exists at that time or other relevant date of determination.
