The Deerfield Entities hereby represent and warrant to the Company that they hold all of the issued and outstanding Deerfield Warrants and that, immediately following the EGI Closing, all of the issued and outstanding Deerfield Warrants will have been redeemed by the Company pursuant to the terms of this Agreement.
Prior to the distribution provided for in this Subsection 6.F(b), the Corporation shall not expend or dissipate the consideration received for such Deemed Liquidation Event, except to pay any and all amounts required under the Deerfield Convertible Notes, the Deerfield Warrants and the Term Note and to discharge expenses incurred in connection with such Deemed Liquidation Event or in the ordinary course of business.
