This Agreement shall further constitute a covenant by the Insured Defendant Releasors not to xxx any of the Gulf Releasees on any claims released by the Insured Defendants under this Paragraph 8.
The Defendant Releasors shall by operation of the Judgment have covenanted not to sue any of the Plaintiffs’ Releasees with respect to any Defendants’ Released Claims, and shall be permanently barred and enjoined from instituting, commencing, or prosecuting the Defendants’ Released Claims against the Plaintiffs’ Releasees except to enforce the releases and other terms and conditions contained in this Stipulation and/or the Judgment entered pursuant thereto.
Defendants agree to indemnify the Trust Releasors should any third party to whom any Claim asserted in the Lawsuit has been sold, transferred, assigned, or conveyed by the Defendant Releasors bring any suit or claim against any of the Trust Releasors.
The Defendant Releasors represent and warrant to the Plaintiff Releasees that they have not assigned or otherwise transferred any of the Released Claims to any individual, firm, corporation or other legal entity.
Defendant Releasors acknowledge that there may be facts and claims about which Defendant Releasors are presently not aware.
