Corresponding Certificate With respect to each REMIC II Regular Interest (other than REMIC II Regular Interests AA, ZZ and IO), the Certificate with the corresponding designation. With respect to each REMIC III Regular Interest (other than the Class C Interest and the Class IO Interest), the related Certificate representing an ownership therein.
Corresponding Certificates As identified in the Preliminary Statement with respect to any Lower-Tier Regular Interest or Component.
Outstanding Certificate Any Outstanding Exchangeable Certificate and Outstanding Exchangeable REMIC Certificate.
Borrowing Certificate means a Borrowing Certificate substantially in the form of Exhibit A.
Servicing Certificate A certificate completed and executed by a Servicing Officer on behalf of the Master Servicer in accordance with Section 4.01 of the Servicing Agreement.
Certifying Certificateholder As defined in Section 5.07(a) of this Agreement.
Pricing Certificate means a certificate in the form of Exhibit C, properly completed and signed by a Senior Officer or his or her designated representative of Borrower.
Closing Certificate means the closing certificate of the Company in the form of Exhibit B hereto.
Original Certificate Principal Balance With respect to any Class of Certificates, the amount specified for such Class in Section 4.01(d).
Closing Date Certificate means a Closing Date Certificate substantially in the form of Exhibit G-1.
Class A-1 Certificate Principal Balance As of any date of determination, the aggregate Certificate Principal Balance of the Class A-1 Certificates.
Group 1 Certificate Any Class A-1 or Class A-R Certificate.
Back-Up Certification As defined in Section 3.18(k).
Initial Certificate Principal Balance With respect to each Class of Certificates, the Certificate Principal Balance of such Class of Certificates as of the Cut-off Date, as set forth in the Series Supplement.
Group 2 Certificate Any Class A-2 Certificate.
Aggregate Certificate Principal Balance At any given time, the sum of the then current Class Principal Balances of the Certificates.
Delayed Payment Interest Rate means the national average annual rate of interest payable on jumbo six-month bank certificates of deposit, as quoted in the business section of the most recently published Sunday edition of The New York Times preceding the Executive’s separation from service.
Class A Certificate Principal Balance As of any date of determination, the sum of the Class A-1 Certificate Principal Balance, the Class A-2A Certificate Principal Balance, the Class A-2B Certificate Principal Balance, the Class A-2C Certificate Principal Balance, the Class A-2D Certificate Principal Balance and the Class R Certificate Principal Balance.
Certificate Rate means 0.00% per annum (computed on the basis of a 360-day year consisting of twelve 30-day months).
Certificate Principal Balance With respect to each Certificate (other than any Interest Only Certificate), on any date of determination, an amount equal to:
Certificate Group Each of the Group 1 Certificates and the Group 2 Certificates.
Certificate Principal means principal payable in respect of the Investor Certificates of any Series pursuant to Article IV of this Agreement.
Class A Certificate Group The Group I Class A Certificates or the Group II Class A Certificates, as applicable.
Class A-1 Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-1 hereto.
Class J Certificate means any one of the Certificates with a "Class J" designation on the face thereof, substantially in the form of Exhibit A-4 attached hereto, and evidencing a portion of a class of "regular interests" in REMIC III for purposes of the REMIC Provisions.
