Delayed Transfer Employees definition

Delayed Transfer Employees means those employees set forth in Schedule 1.1(34) (which Schedule 1.1(34) may be amended in writing by agreement of the applicable Parties) who will transfer from one Party to another Party as described in Schedule 1.1(34) between the Distribution Date and December 31, 2007 (or such later date as mutually agreed to by the applicable Parties.)

Delayed Transfer Employees shall have the meaning ascribed thereto in Section 2.4.

Delayed Transfer Employees has the meaning set forth in Section 2.04(c).

• Ralcorp shall take all necessary steps for the Ralcorp Excess Benefit Plan to accept Liabilities from the Post Excess Benefit Plan representing any benefits accrued by Delayed Transfer Employees who transfer from the Post Group to the Ralcorp Group and have accrued benefits in the Post Excess Benefit Plan as of the Transfer Date.

• In respect of the Delayed Transfer Employees, each reference in Section 6.6(a)(iii) (other than in this Section 6.6(b)(iii) and Section 6.6(b)(iv)) through Section 6.6(j) to “Closing” and “Closing Date” shall be treated as a reference to the first date on which the applicable Delayed Transfer Employee’s employment commences with or transfers to Purchaser.

• To the extent any such transfers of employment of any Delayed Transfer Employees will occur following the Distribution Date, the parties agree to mutually cooperate in good faith to cause the transfer of the employment of such individuals to the SpinCo Group as soon as possible following the Distribution Date.

• All Liabilities accrued under the Xxxx Foods EDCP and Xxxx Foods SERP related to WhiteWave Employees and Former WhiteWave Employees, including Transferred Employees and Delayed Transfer Employees, shall be the sole responsibility of the member of the WhiteWave Group which employed any such WhiteWave Employee at the Distribution Date or that last employed any Former WhiteWave Employee.

• Notwithstanding any provision of this Agreement to the contrary, from and after the Benefits Commencement Date, the WMB Group shall be exclusively responsible for all obligations and Liabilities with respect to the WMB DC Plan, all assets of the WMB DC Plan, and all benefits owed to participants in the WMB DC Plan (including the WPX Employees, Former Employees and Delayed Transfer Employees), whether accrued before, on or after the Benefits Commencement Date.

Delayed Transfer Employees means those Ralcorp or Post Employees who are considered by the Parties to be important to the Ralcorp Business or Post Business and whose transfer from the Ralcorp Group to the Post Group or from the Post Group to the Ralcorp Group in connection with the Distribution will be delayed, due to certain business constraints, until after the Distribution Date but within two (2) years after the Distribution Date.

Delayed Transfer Employees means those MRO Employees or MPC Employees who are considered by the Parties to be important to the Marathon Petroleum Business or Marathon Oil Business and whose transfer from the MRO Group to the MPC Group or from the MPC Group to the MRO Group in connection with the Separation will be delayed, due to certain business constraints, until after the Distribution Date but prior to January 1, 2012. Such delayed transfers will occur on or after July 1, 2011 but not later than immediately prior to midnight on December 31, 2011.

Delayed Transfer Employees means those COP Group Employees or Xxxxxxxx 66 Group Employees whose transfer from COP Group to Xxxxxxxx 66 Group or from Xxxxxxxx 66 Group to COP Group, respectively, in connection with the Distribution will be delayed until after the Effective Time in accordance with the terms of the notice provided by COP to Xxxxxxxx 66.

Delayed Transfer Employees. (i) Each NTELOS Restricted Stock Award held by a Delayed Transfer Employee (other than a Joint Service Employee) at the Distribution Time shall be adjusted under Section 15.3(a) on the same basis as any other NTELOS Restricted Stock Award. (ii) Each Remaining NTELOS Restricted Stock Award outstanding under the NTELOS Stock Plans held by a Delayed Transfer Employee (other than a Joint Service Employee) on such Delayed Transfer Employee’s Transfer Date shall be converted as of such Transfer Date into an award of restricted stock in Wireline Common Stock (each such award, a “Delayed Transfer Restricted Stock Award”) pursuant to the terms of the Wireline Equity Incentive Plan subject to terms and conditions after such Delayed Transfer Employee’s Transfer Date that are substantially similar to (to the extent practicable) the terms and conditions applicable to the corresponding Remaining NTELOS Restricted Stock Award immediately prior to such Delayed Transfer Employee’s Transfer Date. Subject to Section 14.3(f), the number of shares subject to such Delayed Transfer Restricted Stock Award shall be determined as follows: (i) the number of shares of Wireline Common Stock subject to each such Delayed Transfer Restricted Stock Award shall be equal to the product of (x) the number of shares of NTELOS Common Stock subject to the corresponding Remaining NTELOS Restricted Stock Award immediately prior to such Delayed Transfer Employee’s Transfer Date and (y) the Delayed Share Ratio, with fractional shares rounded down to the nearest whole share.
