Group Employees definition

Group Employees means any current employee of any Group Company, including any director or officer of any Group Company.

Group Employees shall have the meaning set forth in Section 3.20(a).

Group Employees means all those employees of the Group set forth on Schedule 4.09(a) hereto. Each person listed on Schedule 4.09(a) shall be considered a "Group Employee".

• With the exception of the indirect owner of the account, you may not discuss the response to a preclearance request with anyone.Preclearance Window (or Expiration) - for ADM and Investment Employees preclearance authorization will expire at the end of the second business day after it is received and the third business day for Insider Risk and Pre–Release Earnings Group Employees.

• Additional restrictions apply to employees who are identified as having access to the company’s pre-release earnings (see page 19 - Pre-Release Earnings Group Employees for further information).

• References to Parent Group Employees, Former Parent Group Employees, SpinCo Group Employees, Former SpinCo Group Employees, and current and former nonemployee directors of either Parent or SpinCo shall be deemed to refer to their beneficiaries, dependents, survivors and alternate payees, as applicable.

• The Parent Group shall continue to be responsible for complying with, and providing coverage pursuant to, the health care continuation requirements of COBRA, and the corresponding provisions of the Parent Welfare Plans with respect to any Parent Group Employees and any Former Parent Group Employees (and their covered dependents) who incur a qualifying event under COBRA before, as of, or after the Effective Time.

• SpinCo shall be responsible for all ongoing rights of or relating to SpinCo Group Employees for future participation (including the right to make payroll deductions) in the SpinCo 401(k) Plan.

• The SpinCo Group shall also determine for SpinCo Group Employees or Former SpinCo Group Employees (A) the extent to which established performance criteria (as interpreted by the SpinCo Group, in its sole discretion) have been met, and (B) the payment level for each SpinCo Group Employee or Former SpinCo Group Employee.

• The Parent Group shall continue to be responsible for complying with, and providing coverage pursuant to, the health care continuation requirements of COBRA, and the corresponding provisions of the Parent Welfare Plans with respect to any Parent Group Employees and any Former Parent Group Employees (and their covered dependents) who experience a qualifying event under COBRA before, as of, or after the Effective Time.

• Effective as of the Effective Time, the SpinCo Group shall assume responsibility for complying with, and providing coverage pursuant to, the health care continuation requirements of COBRA, and the corresponding provisions of the SpinCo Welfare Plans with respect to any SpinCo Group Employees or Former SpinCo Group Employees (and their covered dependents) who experience a qualifying event under the SpinCo Welfare Plans and/or the Parent Welfare Plans before, as of, or after the Effective Time.

• In addition to the above, one floating holiday per fiscal year may be earned by Mid- Management Group Employees (Executive Management Group Employees are not eligible).

• The Committee may, in its sole discretion, grant SARs to Employees, Group Employees, Nonemployee Directors, and/or Independent Contractors.

More Definitions of Group Employees

Group Employees means those employees of the Group Companies and the Seller who are immediately prior to Closing employed in the Group (other than any specifically excluded by agreement with the Purchaser);

Group Employees means the employees of the Group;

Group Employees means all Persons who (i) (x) have in the past provided or provide services to or have been used or are used in, the Business and (y) are or have been employed by a member of the Relevant Group (including i3 Verticals Management Services, Inc.), or (ii) are or have been employed by an Acquired Entity. For the avoidance of doubt, each Business Employee is also a Group Employee.
