Delivered Volumes definition

Delivered Volumes has the meaning specified in Section 5.9.
Delivered Volumes means, with respect to any period of determination, the sum of wellhead volumes of crude oil (measured at LACT units or applicable delivery points in the applicable Earn-Out Contract) or volumes of natural gas (measured at wellhead meters or CDP receipt points or applicable delivery points in the applicable Earn-Out Contract) delivered to the Company or any of its Affiliates pursuant to the Earn-Out Contracts during such period.
Delivered Volumes has the meaning specified in Section 8.1.

Examples of Delivered Volumes in a sentence

  • The Delivered Volumes shall be subject to subsequent adjustment as required as part of the Monthly True-Up Payment as may be necessary to reflect any additional or more accurate measurement information.

  • The Termination Payment Amount shall include payment of the price in respect of all Delivered Volumes that have not yet been paid, and for purposes of such calculation, the Payment Date for any such Delivered Volumes that would occur after the Final Settlement Date, shall be accelerated and deemed to occur on the Final Settlement Date.

  • Within 15 days after a failure to resolve any dispute regarding the calculation of the Delivered Volumes in an Earn-Out Report in accordance with Section 2.3(b), each of Antero and the Partnership shall appoint one person to serve as an Arbitrator and, within 10 days after the later to occur of such appointments, the two appointed Arbitrators shall mutually agree to appoint a third Arbitrator, failing agreement on which such third Arbitrator shall be appointed by AAA in accordance with its rules.

  • If at any time the Partnership and Antero resolve the Earn-Out Report Dispute, then notwithstanding the preceding provisions of this Section 2.3(b) and Section 2.3(c), the dispute resolution procedures in Section 2.3(c) promptly shall be discontinued with respect to such agreed matters and the Earn-Out Report and the Delivered Volumes shall be revised, if necessary to reflect such resolution and thereupon shall become binding upon Antero and the Partnership for purposes hereof.

  • The Weekly Nomination shall be deemed to be adjusted to reflect the Delivered Volumes delivered by PBF to MSCG into the Tanks, in the case of purchases of Product by MSCG, or withdrawn by PBF from the Tanks, in the case of purchases of Intermediate Products or Lubes by PBF.

  • If the Partnership does not agree with the Earn-Out Report and the calculation of the Delivered Volumes stated thereon, and Antero and the Partnership cannot mutually agree on the calculation of Delivered Volumes for such Earn-Out Term, then within 45 days following receipt by the Partnership of the Earn-Out Report, Antero and the Partnership shall resolve such dispute (the “Earn-Out Report Dispute”) in accordance with Section 2.3(c).

  • The Weekly Nomination shall be deemed to be adjusted to reflect the Delivered Volumes delivered by DCRC to MSCG into the Tanks, in the case of purchases of Product by MSCG, or withdrawn by DCRC from the Tanks, in the case of purchases of Intermediate Products by DCRC.

  • The Earn-Out Report and the Delivered Volumes for the Earn-Out Term reflected thereon shall be final and binding upon Antero and the Partnership upon the approval of such Earn-Out Report by the Partnership, in a written notice that specifically states such approval and references this Section 2.3(b), or the failure of the Partnership to object in a written notice to Antero that specifically references this Section 2.3(b) within 15 days after receipt of the Earn-Out Report by the Partnership.

  • After the expiry of each front month NYMEX crude oil contract MSCG shall determine the Hedge Adjustment Amount for such calendar month in accordance with Schedule 10 to account for hedging losses and gains resulting from any mismatch between the day on which Delivered Volumes are priced hereunder and the day on which TRC either delivers Delivered Volumes into the Refinery processing units or delivers Delivered Volumes to third parties in a third party transaction.


More Definitions of Delivered Volumes

Delivered Volumes means MVC Credit Volumes plus, for any calendar year or calendar quarter, the aggregate number of additional Barrels of Fresh Water delivered to Persons other than Antero or any of its Affiliates through the Water Assets to the extent such volumes are not included in the calculation of MVC Credit Volumes.
Delivered Volumes means on any date, the total amount of Crude Oil actually delivered by Seller or its Affiliates to Buyer pursuant hereto.

Related to Delivered Volumes

  • Monthly Volume means the product of the Committed Volume multiplied by the number of days in the relevant month.

  • Service Volume means a measure of Services for which a Performance Target is set.

  • Contract Quantity means the quantity of Gas to be delivered and taken as agreed to by the parties in a transaction.

  • Delivery Points means: (i) for natural gas transported by interstate pipelines, the city gate stations of your Utility, and (ii) for electricity, one or more points at which Company, as your agent, has arranged for the delivery of electricity to a third party (such as your Utility) for your account or at your premises.

  • Receipt Point(s) means the receipt points set forth in Section 6 of this Toll Schedule.

  • Committed Volume means, with respect to a Committed Shipper, the minimum daily volume of Crude Petroleum set out in Schedule A to the Committed Shipper’s TSA.

  • Meet-Point Billing (MPB means the billing associated with interconnection of facilities between two (2) or more LECs for the routing of traffic to and from an IXC with which one of the LECs does not have a direct connection. In a multi-bill environment, each Party bills the appropriate tariffed rate for its portion of a jointly provided Switched Exchange Access Service.

  • Receipt Point means the receipt/inception point(s) where Crude Oil is received into the Gathering System, as such points are specified in Section II of this tariff.

  • Daily Contract Quantity or “DCQ” means the quantity of Gas as set out in Clause 4.1 herein.

  • Delivery Point means the point(s) of connection(s) at which energy is delivered into the Grid System i.e. the Interconnection Point.

  • Runoff volume means the volume of water that runs off the land development project from a

  • INTER-CONNECTION POINT/ DELIVERY/ METERING POINT means a single point at 220kV or above, where the power from the Project(s) is injected into the identified ISTS Substation (including the dedicated transmission line connecting the Projects with the substation system) as specified in the RfS document. Metering shall be done at this interconnection point where the power is injected into. For interconnection with grid and metering, the WPDs shall abide by the relevant CERC/ SERC Regulations, Grid Code and Central Electricity Authority (Installation and Operation of Meters) Regulations, 2006 as amended and revised from time to time.

  • Daily Quantity means the quantity of waste discharged during an operating day.

  • Required Quantity in a unit price Contract shall mean the actual quantity of any item of Work or materials which is required to be performed or furnished in order to comply with the Contract.

  • Gross Standard Volume as herein used means volume corrected to a temperature of sixty degrees (60°) Fahrenheit, in accordance with the latest API/ASTM measurement standards, and at equilibrium vapor pressure.

  • MMBtu means one million British thermal units, which is equivalent to one dekatherm.

  • Type A quantity means a quantity of radioactive material, the aggregate radioactivity of which does not exceed A1 for special form radioactive material, or A2, for normal form radioactive material as defined in 10 CFR 71.4.

  • Base Capacity Demand Resource Price Decrement means, for the 2018/2019 and 2019/2020 Delivery Years, a difference between the clearing price for Base Capacity Demand Resources and Base Capacity Energy Efficiency Resources and the clearing price for Base Capacity Resources and Capacity Performance Resources, representing the cost to procure additional Base Capacity Resources or Capacity Performance Resources out of merit order when the Base Capacity Demand Resource Constraint is binding.

  • Contract Quarter means a three-month period that commences on January 1, April 1, July 1 or October 1 and ends on March 31, June 30, September 30, or December 31, respectively.

  • Delivery Year means the Planning Period for which a Capacity Resource is committed pursuant to the auction procedures specified in Tariff, Attachment DD, or pursuant to an FRR Capacity Plan under Reliability Assurance Agreement, Schedule 8.

  • Type B quantity means a quantity of radioactive material greater than a Type A quantity.

  • Cubic foot of gas or “Cubic feet of Gas” means the volume of Gas contained in one (1) cubic foot of space at a standard pressure of fourteen and seventy-three hundredths pounds per square inch absolute (14.73 psia) as required by this Agreement and at a temperature of sixty degrees (60°) Fahrenheit.
