Examples of Delivery Expiry Date in a sentence
If any Seller is unable to effect Delivery of any Aircraft at any time prior to the 30th day before the Delivery Expiry Date for any reason (including, without limitation, the failure of one or more of the conditions set forth in Exhibit C or Section 6.1 but excluding an Event of Loss or Material Damage in respect of such Aircraft), then, in each such case, such Aircraft shall become an “Undeliverable Aircraft” and the provisions of Section 4.2 shall apply.
If on the Delivery Expiry Date the Sellers have delivered to the Issuer Group fewer than 42 Aircraft, then the Administration Fee for Fee Periods commencing after the Delivery Expiry Date will be a per annum amount equal to the greater of (a) the product of $750,000 and a fraction the numerator of which is the number of Aircraft delivered to the Issuer Group and the denominator of which is 47, and (b) $400,000.
WEST Funding may, at its option, elect to provide a Substitute Engine and related Engine Assets in place of such removed Engine and related Engine Assets as provided in the Engine Transfer Agreement at any time thereafter but not less than five (5) Business Days prior to the Delivery Expiry Date.
In the event of any Required Expense Shortfall, Senior Hedge Payment Shortfall, Class A Interest Shortfall or Class B Interest Shortfall occurring on or prior to the Delivery Expiry Date, an amount equal to the aggregate of such shortfalls up to the remaining portion of the Hold-Back Amount shall be transferred from the applicable Aircraft Purchase Account to the Collections Account on or prior to the relevant Payment Date (and prior to any drawing on the Liquidity Facility).
Prior to the Delivery Expiry Date, the Initial Lessee Concentration Limits set forth in Exhibit C hereto (the “Initial Lessee Concentration Limits”) shall apply.
