Deposited Documents definition

Deposited Documents shall have the meaning ascribed to it in the Pledge Agreement;
Deposited Documents has the meaning specified in Section 3.01.
Deposited Documents in relation to the Securities means: (i) copies of the Pledge Form to be filed by the Xxxxxxx with the Xxxxxxx’x Participant requesting for the creation of the pledge and confirming the availability of the Securities or the Additional securities, as the case may be, for pledge; (ii) the intimation received from the Depository confirming the creation and the noting of the pledge over the Securities or the Additional securities, as the case may be, in favour of the Lender and the transfer of the Securities or the Additional Securities, as the case may be, from the “Free balances” to the “Pledged balances”; (iii) certified copy of the statement of accounts in respect of the Securities or the Additional Securities, as the case may be, issued by the Xxxxxxx’x Participant together with letters from the Xxxxxxx’x Participant confirming the holding of the Securities or the Additional Securities, as the case may be, by the Xxxxxxx as the beneficial owner thereof; in case of Mutual Fund units in physical form (iv) copies of the Pledge Creation Request(s) to be filed by the Xxxxxxx with the Mutual Fund(s) requesting for the creation of the pledge and confirming the availability of the Securities or the Additional Securities for pledge; (v) the Pledge Confirmation confirming, inter alia, (a) holding of the applicable units comprising the Securities or the Additional Securities by the Xxxxxxx as the beneficial owner thereof; (b) no encumbrance has been created in favour of any other third party over the applicable units comprising the Securities or the Additional Securities; and (c) the creation and the noting of the pledge over the applicable units comprising the Securities or the Additional Securities in favour of Lender; (vi) the Power of Attorney; and (vii) any other documents relating to and any distributions and accretions in respect of the Securities or the Additional Securities, as the case may be, that are required to be deposited pursuant to this Agreement;

Examples of Deposited Documents in a sentence

  • Immediately upon release of the amounts as described in the foregoing sentence, the Deposited Documents shall be released to the Agent.

  • The Buyer hereby appoints Bank One as Custodian and Bank One hereby accepts its appointment as the Custodian, to act as the bailee and agent of the Buyer and its successors and permitted assigns, for the purpose of taking custody of all Deposited Documents delivered hereunder.

  • The Custodian shall be responsible for identifying on its books and records that all such documents are being held for the benefit of the Buyer and for maintaining all Deposited Documents in separate records and files.

  • The Custodian shall use reasonable care and due diligence in the performance of its duties hereunder and shall, subject to the other provisions of this Agreement, hold the Deposited Documents under its exclusive custody and control and in accordance with Custodian's customary custodial standards that it applies when it is acting as document custodian for GNMA, FNMA and FHLMC.

  • The Custodian shall furnish the Buyer and its auditors, upon the written request of the Buyer, with copies of the Deposited Documents.

  • The Custodian shall promptly notify the Buyer if (i) the Seller fails to pay any amount due to the Custodian in connection with this Agreement or (ii) the Custodian's direct employees responsible for performing the duties outlined in this Agreement have received written notification that any mortgage, pledge, lien, encumbrance or security interest (other than for the benefit of the Buyer) has been placed on the Required Documents, the Deposited Documents or the Mortgage Loans relating thereto.

  • The Custodian may act or refrain from acting in reliance upon any written communication of the Buyer concerning the delivery of the Deposited Documents.

  • If no successor custodian is designated, the Custodian shall deliver all Required Documents and Deposited Documents to the Buyer.

  • The Custodian shall promptly deliver to the Buyer or its designee any or all Required Documents and other Deposited Documents in the Custodian's custody upon the Buyer's written request.

  • In the event of such termination, the Buyer shall appoint a successor custodian and the Custodian shall promptly transfer to the successor custodian, as directed, all Required Documents and other Deposited Documents being held by the Custodian under this Agreement.


More Definitions of Deposited Documents

Deposited Documents in relation to (A) the Approved Securities means (i) copies of the Pledge Creation Request(s) to be filed by the Borrower with the Mutual Fund(s) requesting for the creation of the pledge and confirming the availability of the Approved Securities for pledge;
Deposited Documents means such documents as may be required by the Bank to be executed by the Borrower or any Security Provider(s), including all Security Documents executed by the Borrower or the Security Provider(s) in favour of the Bank or the Security Trustee, as the case may be, including copies of all filings to be made or caused to be made by the Borrower for creation and perfection of the
Deposited Documents in relation to an order means such documents as are required in connection with that order to be kept available for public inspection in accordance with Schedule 2;

Related to Deposited Documents

  • Subordinated Documents means the Subordinated Note and any and all other documents, agreements, writings or instruments executed in connection therewith or pursuant thereto, in each case, as in effect on the date hereof and as amended, modified, restated or Refinanced in accordance with the terms hereof.

  • Related Documents mean all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, security deeds, collateral mortgages, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Loan.

  • L/C Related Documents has the meaning specified in Section 2.06(b)(i).

  • Required Documents means those documents identified in Section 2(I) of the Custodial Agreement.

  • Transfer Documents shall have the meaning set forth in Section 2.1(b).

  • Related Document any agreement, certificate, document or instrument relating to a Letter of Credit.

  • Secured Documents means the collective reference to the Credit Agreement, the other Loan Documents, each Secured Swap Agreement and any other document made, delivered or given in connection with any of the foregoing.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Bid Documents means all the documents issued by the Chief Procurement Officer, or referenced by the Chief Procurement Officer as being available on the City's website and incorporated by such reference, in connection with an invitation for bids or proposals. Except for such Bid Documents as are posted on the City's website and incorporated by reference, all Bid Documents must be submitted by a bidder on the Bid Opening Date.

  • Specified Documents means, with respect to any Property File, each document listed in the definition of “Property File”.

  • Merger Documents means, collectively, this Agreement, the Certificate of Merger, and all other agreements and documents entered into in connection with the Merger and the other transactions contemplated hereby.

  • Constitutive Documents means the Trust Deed or such other documents as defined in the Regulations.

  • Underlying Documents means, together, the Contracts, the Refund Guarantees, the Supervision Agreements and the Management Agreements and “Underlying Document” means any of them.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Bond Documents means the Bonds, the Indenture, the Loan Agreement, the Remarketing Agreement, the Remarketing Circular, and all amendments and supplements thereto.

  • Basic Documents means this Agreement, the Certificate of Trust, the Trust Agreement, the Purchase Agreement, the Indenture, the Asset Representations Review Agreement, the Underwriting Agreement and other documents and certificates delivered in connection therewith.

  • Documents includes any and all instruments, documents, agreements, certificates, indentures, notices and other writings, however evidenced.

  • Application Documents means collectively: (i) the grant application submitted by Grantee, including all exhibits, schedules, appendices and attachments thereto; (ii) all documents, correspondence and other written materials submitted in respect of such grant application; and (iii) all amendments, modifications or supplements to any of the foregoing approved in writing by City.

  • Company Charter Documents means the Company’s certificate of incorporation and bylaws, each as amended to the date of this Agreement.

  • Operating Documents are, for any Person, such Person’s formation documents, as certified by the Secretary of State (or equivalent agency) of such Person’s jurisdiction of organization on a date that is no earlier than thirty (30) days prior to the Effective Date, and, (a) if such Person is a corporation, its bylaws in current form, (b) if such Person is a limited liability company, its limited liability company agreement (or similar agreement), and (c) if such Person is a partnership, its partnership agreement (or similar agreement), each of the foregoing with all current amendments or modifications thereto.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Repurchase Documents Collectively, this Agreement, the Custodial Agreement, the Fee Letter, the Controlled Account Agreement, all Interest Rate Protection Agreements, the Pledge and Security Agreement, the Guarantee Agreement, all Confirmations, all UCC financing statements, amendments and continuation statements filed pursuant to any other Repurchase Document, and all additional documents, certificates, agreements or instruments executed and delivered by Seller, Pledgor and/or Guarantor in connection with the foregoing Repurchase Documents and any Transaction.

  • Fund Documents those documents prepared by the Fund that, pursuant to Rule 498(e)(1), must be publicly accessible, free of charge, at the Web site address specified on the cover page or at the beginning of the Summary Prospectus.
