Derivatives Transaction definition

Derivatives Transaction means any financial futures contract, option, forward contract, warrant, swap, swaption, collar, floor, cap and other agreement, instrument and derivative and other transactions of a similar nature (whether currency linked, index linked, insurance risk linked, credit risk linked or otherwise).
Derivatives Transaction means any rate swap transaction, basis swap, forward rate transaction, commodity swap, commodity option, equity or equity index swap, equity or equity index option, bond option, interest rate option, foreign exchange transaction, cap transaction, floor transaction, collar transaction, currency swap transaction, cross-currency rate swap transaction, currency option or any other similar transaction (including any option with respect to any of the foregoing transactions) or any combination of the foregoing transactions.

Examples of Derivatives Transaction in a sentence

  • If a Derivatives Transaction is Registered then, notwithstanding Section 3(b) and regardless of whether a Relevant Event has occurred in respect of such Derivatives Transaction, no Early Termination Amount will be payable by Party A to Party B or by Party B to Party A, as applicable, in respect of such Derivatives Transaction.

  • If Termination Long Stop is specified as applicable in the Annex then, if a Relevant Event occurs with respect to a Derivatives Transaction and such Derivatives Transaction remains subject to this Agreement and outstanding on the applicable Termination Long Stop Date, then Party A will be deemed to have delivered a notice to Party B in accordance with Section 3(b) on such Termination Long Stop Date and the remainder of Section 3(b) will apply accordingly.

  • If a party fails to pay any amount when due pursuant to this Agreement, such party will on demand indemnify and hold the other party harmless for and against all reasonable out-of-pocket expenses, including legal fees, execution fees and stamp tax, incurred by such other party by reason of the enforcement and protection of its rights under this Agreement or by reason of the early termination of any Derivatives Transaction pursuant to Section 3(b), including, without limitation, costs of collection.

  • In respect of each Derivatives Transaction, other than an Automatically Matched Transaction, Party A and Party B will each submit (or procure submission of) an electronic message to the relevant Matching System, as soon as practicable in the circumstances after execution of such Derivatives Transaction, to enable the trade details relating to such Derivatives Transaction to be matched and submitted, via the applicable Relevant Trade Source, to the relevant CCP for clearing of such Derivatives Transaction.

  • The obligations of the parties under this Agreement will survive the termination of any Derivatives Transaction.
