Diligence Information definition

Diligence Information is defined in Section 8.2(a)(iii).

Diligence Information means all documentation and other information made available to the Acquiring Parties or any of their Representatives on or before the date hereof through the (i) information accessible through Zarlink’s on-line data room website (ii) the confidential information memorandum provided to Microsemi on September 18, 2011; and (iii) the management presentation made to Microsemi in Los Angeles, California on September 19, 2011;

Diligence Information means the documents provided or made available to Tahoe by Rio Alto following execution of the Confidentiality Agreement and prior to the execution of this Agreement for the purposes of its due diligence in connection with the Arrangement;

Examples of Diligence Information in a sentence

• Dealer agrees to reveal the Due Diligence Information only to its affiliates, agents, representatives and employees who need to know the Due Diligence Information for the purpose of the due diligence evaluation.

• Further, Dealer and its affiliates, agents, representatives and employees will not disclose to any person the fact that the Due Diligence Information has been made available to it.

• Dealer agrees that its obligation of non-disclosure, non-use and confidentiality of the Due Diligence Information as set forth herein shall terminate two (2) years after the date on which the Due Diligence Information is received by Dealer.

• Regulations also require you to collect all such data (Diligence Information) from the third party, without undue delay.

• Dealer agrees that the Due Diligence Information will be kept confidential and shall not, without our prior written consent, be disclosed by Dealer, or by Dealer’s affiliates, agents, representatives or employees, in any manner whatsoever, in whole or in part, and shall not be used by Dealer, its agents, representatives or employees, other than in connection with Dealer’s due diligence evaluation of the Offering.

More Definitions of Diligence Information

Diligence Information means the documents provided or made available to Auryn or Eastmain, as applicable, by Eastmain or Auryn, as applicable, following execution of the Confidentiality Agreement and prior to the execution of this Agreement for the purposes of its respective due diligence in connection with the Arrangements;

Diligence Information is defined in Section 3(a)(3) of Schedule H.

Diligence Information means the documents provided or made available to the Purchaser by the Company following execution of the Detour Confidentiality Agreement and prior to the execution of this Agreement for the purposes of its due diligence in connection with the Arrangement, including all documents included in the Public Disclosure Record and in any electronic data room to which the Purchaser has been provided access;
