Diligence Term definition

Diligence Term means with respect to each Program Asset Product, the period of time commencing on the Effective Date, and expiring on a Program Asset Product-by-Program Asset Product basis upon the first Completion of a Phase 2 Clinical Trial for such Program Asset Product commenced after the Effective Date which (a) with respect to any Program Asset Product that is a Slx-2119 Product, is a Phase 2 Clinical Trial of a Slx-2119 Product in oncology powered to achieve statistical significance in its primary endpoint, which endpoint shall be a clinically significant endpoint (or a combination of Phase 2 Clinical Trials consisting of > 50 patients powered to achieve statistical significance in a clinically significant primary endpoint); with respect to any Program Asset Product that is a Slx-2101 Product, is a Phase 2 Clinical Trial of a Slx-2101 Product in either hypertension or oncology powered to achieve statistical significance in its primary endpoint, which endpoint shall be a clinically significant endpoint; or with respect to any Program Asset Product that is a Slx-4090 Product, is a Phase 2 Clinical Trial (12 weeks or longer) of such Slx-4090 Product in either metabolic syndrome, diabetes, obesity, or hypercholesteremia powered to achieve statistical significance in its primary endpoint, which endpoint shall be a clinically significant endpoint.
Diligence Term has the meaning set forth in Section 1.9(b).

Examples of Diligence Term in a sentence

  • During the Diligence Term for each Program Asset Product, Buyer shall use Commercially Reasonable Efforts as measured over the course of any twelve (12) consecutive month period to develop such Program Asset Product.

Related to Diligence Term

  • Licence Term means the Initial Term plus any Further Term; Licensee means You and/or the Permitted Users;

  • Due Diligence Period has the meaning set forth in Section 4.1.

  • Due Diligence Materials means the information to be provided by Seller to Purchaser pursuant to the provisions of Section 4.1 hereof.

  • Due Diligence Fee means a payment of an annual fee equal to $800 due upon the date of this Agreement and $500 due upon each anniversary thereof so long as any Advance is outstanding or available hereunder.

  • Due Diligence Review means the performance by Buyer of any or all of the reviews permitted under Section 44 hereof with respect to any or all of the Loans or Seller or related parties, as desired by Buyer from time to time.

  • Study Period means the period commencing at 9:00 a.m. on the date hereof, and continuing through 5:00 p.m. on the Closing Date.

  • Inspection Period means the period beginning on the Effective Date and expiring at 5:00 p.m. eastern time on the forty-fifth day after the Effective Date.

  • Due Diligence Information means any information supplied to the Supplier by or on behalf of the Customer prior to the Call Off Commencement Date;

  • Due Diligence Service Provider As defined in Section 12.13(l) of this Agreement.

  • Due Diligence Request means the due diligence request letter from Xxxxxxx and Xxxxxx LLP, counsel to the Purchaser, dated March 6, 2024.

  • Due Diligence Examination shall have the meaning set forth in Section 3.2.

  • License Term means the duration of a License as specified in the Order.

  • On-going Due Diligence means regular monitoring of transactions in accounts to ensure that they are consistent with the customers’ profile and source of funds.

  • Base Term Commencing (i) with respect to the Original Premises on the Commencement Date, and (ii) with respect to the Expansion Premises on the Expansion Premises Commencement Date, and ending with respect to the entire Premises on September 15, 2016 (“Expiration Date”).”

  • Maintenance Term means the period of time for which Customer has purchased Maintenance Services, as evidenced by the Purchase Order delivered by Customer in connection therewith, together with all renewals effected in accordance with Section 4 of this Agreement.

  • Lease Commencement Date means the Closing Date. The “Lease Expiration Date” shall mean the later of (i) the date of the final payment in full of the French Advances and (ii) the Vehicle Lease Expiration Date for the last Lease Vehicle leased by the Lessee hereunder. The “Term” of this Agreement shall mean the period commencing on the Lease Commencement Date and ending on the Lease Expiration Date.

  • Initial Term has the meaning set forth in Section 7.1.
