Buyer shall have title to Charging Energy, Energy stored in the Storage Facility, and Discharging Energy.
Seller shall keep complete and accurate records necessary for the purposes of proper administration of this Agreement, including all records necessary for billing and payments, records of the Charging Energy and Discharging Energy and such other records as may be required by applicable Governmental Authorities or Prudent Utility Standards.
Risk of loss for Seller’s deliveries of Discharging Energy to Buyer shall pass from Seller to Buyer at the Delivery Point.
Notwithstanding anything herein to the contrary, a sale, assignment or transfer of any or all of the voting power or equity interests in any parent entity that directly or indirectly owns Lessee shall not constitute a prohibited assignment hereunder nor require Lessor’s consent.
