Distributable Earnings definition

Distributable Earnings means, for any period, an amount calculated on a consolidated basis for the Company and its consolidated Subsidiaries determined on the basis of distributable earnings, in accordance with the methodology utilized by the Company to derive distributable earnings in the Company’s earnings press release for such period. Notwithstanding the foregoing, the following items shall not be taken into account in calculating Distributable Earnings, (i) for the fiscal quarter ended December 31, 2018, any Tax Receivable Agreement related payments accrued for the 2017 and 2018 tax years that are no longer payable as a result from the February 7, 2019 amendment of the Tax Receivable Agreement, and (ii) for each period during the fiscal year ended December 31, 2019, the impact of any reversal of any such Tax Receivable Agreement payments.
Distributable Earnings means the net income (loss) attributable to the common stockholders of the Company, computed in accordance with GAAP, including realized gains and losses not otherwise included in net income (loss), excluding any unrealized gains or losses or other similar non-cash items that are included in net income (loss) for the applicable reporting period, regardless of whether such items are included in other comprehensive (loss), or in net income (loss) and adding back amortization of stock-based compensation. Net income (loss) attributable to common stockholders may also be adjusted for one-time events pursuant to changes in GAAP and certain material non-cash income or expense items, in each case after discussions between the Manager and the Independent Directors and approved by a majority of the Independent Directors.
Distributable Earnings means, for any period, distributable earnings as described or defined in the Company’s periodic disclosures under the Securities and Exchange Act of 1934.

Examples of Distributable Earnings in a sentence

  • The Company shall distribute Net Distributable Earnings to Members according to the allocations provided for in Section 7.1, in cash to those Members who have on file with the Company their written election to receive cash distributions, as a pro rata share of the total Net Distributable Earnings.

  • Upon dissolution and winding up of the Company, the Company shall thereafter distribute Net Distributable Earnings and Net Proceeds available for distribution, if any, to the Members in accordance with the provisions of Section 12.3 of this Agreement.

  • Notwithstanding the foregoing, immediately prior to any YFAI Change of Control, the YFAI Deferred Purchase Price (less the aggregate amount of any Deferred Purchase Price Payments previously made to Adient HK pursuant to this Section 3.4) shall become immediately due and payable (irrespective of the amount of Distributable Earnings as of such time) and Yanfeng shall (or shall cause YFAI to) pay such amount to Adient HK prior to such YFAI Change of Control.

  • In any year when no such advice is received by the Foundation, or when there are no Donor-Advisor(s), or if made are not acceptable to the Foundation’s Directors, distribution of the annual Distributable Earnings will be made at the discretion of the Foundation Directors with consideration being given to the original intent of the Donor-Advisor(s) and by guided by the pattern of giving established.
