Cash Adjustments definition

Cash Adjustments has the meaning set forth in Section 2.08.
Cash Adjustments means (1) the sum of (i) the excess, if any, of Fifty Five Million Six Hundred Thousand Dollars (US$55,600,000) over the actual amount of cash of the Company as of September 30, 2003 and (ii) any cash distributions, payments in respect of Company Debt, or any payments to a Related Party made (or agreed to be made) to the extent that (A) such payments are made (or such agreements are entered into) from and after the date hereof in breach of subsections 5.1(d), 5.1(j), 5.1(t) or 5.1(u) or (B) except as set forth on Schedule 3.7(ii) (only insofar as it relates to actions described in 5.1(u)), such payments or distributions have been made (or such agreements are entered into) since September 30, 2003 and prior to the date hereof and would have been (in the absence of the consent of the Buyer) in breach of subsections 5.1(d), 5.1(j), 5.1(t) or 5.1(u), less (2) $1,500,000.
Cash Adjustments means any of the items set forth on Schedule E.

Examples of Cash Adjustments in a sentence

  • If your Account is used for any Transaction not permitted by this Agreement, we will treat these Transactions as Purchase Transactions for purposes of applying interest, and you are responsible for these Transactions and any related interest or Daily Cash Adjustments.

  • Different categories of Transactions may have different APRs and DPRs. Purchase Transactions have the APR and DPR set forth in your Apple Wallet, and Daily Cash Adjustments have an APR and DPR of zero.

  • Starting July 30, 2021, your “Minimum Payment Due” equals the greater of: • The sum of $25 and any past due amounts; or • The sum of (i) 1% of the Total Balance (excluding any unpaid Daily Cash Adjustments), plus (ii) any unpaid Daily Cash Adjustments, plus (iii) any interest billed to your Account during that month.

  • At the beginning of each month, we will send or provide a Monthly Statement reflecting activity on your Account that occurred since the previous Monthly Statement, such as new Transactions, interest and Daily Cash Adjustments.

  • Daily Cash Adjustments are charged as one or more Transactions to your Account, reflected on your Monthly Statement(s), and any unpaid Daily Cash Adjustment amount remaining on your Account at the end of that month will be due in full as part of the Minimum Payment Due on the next payment due date.

  • Before July 30, 2021, your “Minimum Payment Due” equals the greater of: • The sum of $25 and any past due amounts; or • The sum of (i) 1% of the Total Balance (excluding any Daily Cash Adjustment), plus (ii) any unpaid Daily Cash Adjustments billed to your Account during that month, plus (iii) any interest billed to your Account during that month.

  • Daily Cash Adjustments incurred as a result of a return or any other credit from a merchant with whom you have made multiple Purchase Transactions may be charged as separate Transactions and/or may appear on a future Monthly Statement instead of the Monthly Statement on which the return or merchant credit is listed.

  • Refer section 6.8 regarding processing by CHESS and further information regarding Cash Adjustments.

  • PRU may require more margin, Variation Adjustments or Interest Rate Cash Adjustments than that specified by the HKFE and /or the Clearing House and may close out open positions in respect of which any margin calls, demands for Variation Adjustments or Interest Rate Cash Adjustments are not met within the period specified by PRU or at the time of making such call(s) or demand(s).

  • The Client shall promptly deliver any monies, securities, financial instruments, documents or other commodities or property deliverable by it under any Contract in accordance with any instructions given by PRU to meet margin calls and demands for Variation Adjustments and Interest Rates Cash Adjustments applicable to any HKFE transaction or to meet margin requirements applicable to any Foreign Futures Exchanges.


More Definitions of Cash Adjustments

Cash Adjustments means the sum of (i) the amount by which total liabilities as shown on the Closing Balance Sheet minus total assets as shown on Target's balance sheet as of June 30, 1999 exceeds one million four hundred seventy-five thousand dollars; and (ii) investment banking and legal fees payable by Target in connection with the Merger Agreement, the Merger and the other transactions contemplated by the Merger Agreement in excess of five hundred thousand dollars ($500,000).
Cash Adjustments means the excess of (i) the sum of: (A) Net Debt immediately prior to the Closing; (B) the aggregate amount of Company Advisory Fees; (C) the Special Distribution Amount; (D) any state or local sales tax refund received by the Company on or before the Closing and (E) the amount of any Transaction Bonuses, over (ii) the lesser of $1,500,000 and the excess of (x) the Net Debt immediately prior to the Closing over (y) the Net Debt as of September 30, 2000.

Related to Cash Adjustments

  • Value Adjustments means cash lending revenues and other revenues on collateral in respect of a Series of ETP Securities.

  • True-Up Adjustment means any Annual True-Up Adjustment or Interim True-Up Adjustment, as the case may be.

  • SOFR Adjustment means 0.10% (10 basis points).

  • XXXXX Adjustment means, with respect to XXXXX, 0.0326% per annum.

  • Spread Adjustment means 100 basis points.

  • Tax Adjustment has the meaning set forth in Section 4.7.

  • CPI Adjustment means the quotient of (i) the CPI for the month of January in the calendar year for which the CPI Adjustment is being determined, divided by (ii) the CPI for January of 2007.

  • Buy In Adjustment Amount shall have the meaning specified in Section 6.

  • Closing Adjustment Amount shall have the meaning set forth in Section 3.2(c).

  • Equity Adjustment means the dollar amount resulting by subtracting the Book Value, as of Bank Closing, of all Liabilities Assumed under this Agreement by the Assuming Bank from the purchase price, as determined in accordance with this Agreement, as of Bank Closing, of all Assets acquired under this Agreement by the Assuming Bank, which may be a positive or a negative number.

  • Net Adjustment Amount means an amount, which may be positive or negative, equal to the Closing Net Working Capital as finally determined pursuant to this Section 2.9 minus the Preliminary Net Working Capital as set forth on the Preliminary Closing Statement;

  • Closing Adjustment has the meaning set forth in Section 2.04(a)(ii).

  • Purchase Price Adjustment has the meaning set forth in Section 2.6.

  • Working Capital Adjustment Amount means an amount, which may be positive or negative, calculated in accordance with Schedule C, equal to the difference of (a) the Closing Date Adjusted Working Capital minus (b) the Preliminary Adjusted Working Capital.

  • Estimated Adjustment Amount has the meaning set forth in Section 2.5(a).

  • Adjustments means all discounts, allowances, returns, disputes, counterclaims, offsets, defenses, rights of recoupment, rights of return, warranty claims, or short payments, asserted by or on behalf of any Account Debtor with respect to any Purchased Receivable.

  • Working Capital Adjustment has the meaning set forth in Section 2.5(a).

  • Final Adjustment Amount has the meaning set forth in Section 2.4(c).

  • Contract Adjustment Payments means the payments payable by the Company on the Special Payment Date or the Payment Dates in respect of each Purchase Contract, at a rate per year of [•]% of the Stated Amount per Purchase Contract.

  • Adjustment Amount For any Distribution Date, the difference between (A) the sum of the Class A Principal Balance and the Class B Principal Balance as of the related Determination Date and (B) the sum of (i) the sum of the Class A Principal Balance and the Class B Principal Balance as of the Determination Date succeeding such Distribution Date and (ii) the aggregate amount that would have been distributed to all Classes as principal in accordance with Section 4.01(a) for such Distribution Date without regard to the provisos in the definitions of Class B-1 Optimal Principal Amount, Class B-2 Optimal Principal Amount, Class B-3 Optimal Principal Amount, Class B-4 Optimal Principal Amount, Class B-5 Optimal Principal Amount and Class B-6 Optimal Principal Amount.

  • Substitution Adjustment Amount As defined in Section 2.03.

  • Post-Closing Adjustment Amount has the meaning set forth in Section 1.9.3.

  • Market Value Adjustment means, on a given date, an amount equal to the lesser of (x) 98% and (y) a percentage determined according to the following formula: Market Value Adjustment = 98% – [(10yrCMTt – 10yrCMTlaunch) ×Duration], where 10yrCMTt = the 10-Year Treasury Constant Maturity Rate published each business day by the Board of Governors of the Federal Reserve System, or, if such rate ceases to be published, a successor rate reasonably determined by the Trustees (the “10-Year CMT”), on such repurchase date; 10yrCMTlaunch = the 10-Year CMT as of the end of the Initial Offering Period; and Duration = an estimate of the duration of the periodic interest payments of a hypothetical coupon-paying U.S. Government Security with a 25-year maturity, calculated by the Trust’s Investment Manager as of the end of the Initial Offering Period;

  • Post-Closing Adjustment has the meaning set forth in Section 2.04(b)(ii).

  • Price Adjustment means any and all price reductions, offsets, discounts, rebates, adjustments, and or refunds which accrue to or are factored into the final net cost to the hospital outpatient department or ambulatory surgical center.

  • Final Adjustment has the meaning set forth in Section 10.3.B(2) hereof.
